Tennis Guest Fees: members of other capital district clubs can be guests of a member twice a month without paying guest fees. Everyday Weekly Fee

Annual Minimum Wage Fee: All members pay $350.00 per year, billed in four monthly installments—April, May, June and July. Clubhouse Capital Fee: Every member in all categories will be charged a monthly fee of $40.00 Golf Course Capital Fee: Every member of the golfing categories will be charged a monthly fee of $50.00 THE MEMBERSHIP YEAR: All members with the exception of those relocating more than 75 miles from the club, are responsible for twelve months of dues commencing January 1st, through December 31st, of each calendar year.

A spouse (if applicable) must be accompanied by the member and will be treated as a guest, paying all appropriate fees. Golf Couple: $10,027.45/year Initiation Fee: $2000.00 Married; both people have privileges for full use of all facilities; Golf, Pool, Tennis and Clubhouse. Golf Family: $10,292.73/year Initiation Fee: $2000.00 Married with children; all family members have full use of all facilities; Golf, Pool, Tennis and Clubhouse Golf Individual/Spouse House: $8,807.18/year Initiation Fee: $2000.00 46 years of age or older Married; member has full use of all facilities; Golf, Pool, Tennis and Clubhouse. Spouse has privileges of all facilities except golf. Spouse can only golf twice a month paying Greens Fees. Senior Individual Golf $6232.71/year This class is available to those who have been a member for an accumulation of 25 years and who are at least 65 years old. Senior Golf Couple $8293.11/year This class is available to those who have been a member for an accumulation of 25 years and who are at least 65 years old. Senior Golf Individual/Spouse House $7262.91/year This class is available to those who have been a member for an accumulation of 25 years and who are at least 65 years old. Senior Non-Resident Member 66% of current golf dues This class is available to those who have been a member for an accumulation of 20 years and who are at least 65 years old. Members who’s main residence is not within 75 miles of the club. Is resident of another State, Must have documented proof for State of Residence. May pick four months of unlimited golf. Senior Life Golf Ind/Couple $2448/year Has been a member of the Country Club for 50 consecutive years or more. Non-Resident Member: Initiation Fee: $1000.00 50% of current golf dues Members who do not maintain a residence or place of business within 75 miles of the club, including rental. Widow A surviving spouse of a member of ACC. Has golfing privileges. (Age 65-74) Annual Dues: $4,584.39 (Age 75-84) Annual Dues: $3,554.19 (Age 85-94) Annual Dues: $2,730.03

Hunting Privileges All members in all categories (except Social) are eligible to use the club lands for Hunting, Skiing or Hiking by registering with the club office.
Optional Golfing Privilege Fees Available for Non-Golfing Families This allows children 10—26 years of age to enjoy unlimited golf, unaccompanied by their parents. Without paying for this privilege for your child, parents must accompany them for golf as limited by your membership category. Children must have appropriate skill level as determined by the Director of Golf to be allowed to golf unaccompanied. Rates for Golf Families: Ages 10—18: $350/year/child Ages 19—26 (living at home and in college): $500/year/child Ages 19—26 (living at home, not in college): $750/year/child

Optional” Privilege Fees for Children of Single Parents: Single members, without a spouse or significant other as home, may add their children as privileges as described above without being required to upgrade to a family membership.
“Optional” Grandchildren Privilege Fee: $350/year Members may add grandchildren ages 10 –18 to their membership to have all privileges afforded to “privileged” children of members. Adding a grandchild requires upgrading to a family membership. House, All-But-Golf, Pool and/or Tennis “Optional” Privilege Fee: For ALL Pool, Tennis, House and All But Golf Families, there is now an “Optional” privilege fee which will allow children ages 19-26, who live at home, unlimited, unaccompanied use of the facilities as allowed under the specific membership category. They also have the ability to invite guests. $350/year Range Membership: Social, Pool, Tennis or House members may upgrade for the use of the range for an additional charge of $750.

CONSTITUTION OF THE ALBANY COUNTRY CLUB Revised to October 2005 ARTICLE I Name and Object Section 1. The name of this corporation is "Albany Country Club". Section 2. The object of the Club is the establishment and maintenance of a house and grounds in the county of Albany for social and athletic purposes. ARTICLE II The membership of the Club shall consist of membership categories determined by the Board of Governors. A schedule of membership categories shall be kept on file in the clubhouse office. Any proposed revision to the membership categories shall be transmitted in writing to the membership at least thirty days prior to the revision. Membership shall be opened to all persons and prospective members shall be elected to the Club by the Board of Governors. ARTICLE III Organization Section 1. The business affairs and the property of the Club shall be under the control of the Board of Governors. The Board of Governors is authorized to make and amend bylaws governing all the affairs and activities of the Club, provided they are not inconsistent with this constitution. The board shall consist of twelve governors and the immediate past president. Four Governors shall be elected for a term of three years at each annual meeting and Governors shall also be elected at such meeting to fill any unexpired term created by a vacancy on the Board. Governors shall take office on the first day of January. No Governor shall be elected for more than three successive three year terms. Governors shall continue in office until their successors are elected.
Section 2. The Officers of the club shall be a President, Vice President, Secretary and Treasurer who shall be elected by the Board of Governors from the elected members of that Board. The officers shall hold office for a term of one year and no officer may hold the same office for more than four consecutive years. Section 3. The Board of Governors is empowered to fill any vacancy on the Board until the next annual meeting and may fill any vacancy in office for such period as may be necessary. Section 4. The Board of Governors shall not contract debts or incur liabilities beyond the amount of money actually in the hands of the Treasurer except upon the concurring vote of at least two-thirds of all the Governors. No alteration of, or addition to, the Club real property, estimated to cost in excess of one hundred thousand dollars ($100,000), shall be authorized or undertaken except upon the concurring vote, in person or by proxy, of a majority of the members voting. ARTICLE IV Duties of Officers Section 1. The President shall be the Chief Executive Officer of the club. He/she shall be at all meetings of the members and the Board of Governors and shall be a member ex officio of all committees. He/She shall initiate and effectuate plans which, in his/her judgment, are in the best interest of the club. Subject to the authority of the Board of Governors, he/she shall be responsible for the employment, organization and direction of the staff of the club. The President elect shall, on or before the third Monday of December of each year, furnish to each member and each member-elect of the Board of Governors a proposed budget containing an itemized statement of estimated revenues and proposed expenditures of the ensuing year.
Section 2. If the President is unable for any cause to act, or if the office becomes vacant the Vice President shall temporarily perform the duties of the office. Section 3. The Secretary shall keep minutes of all meetings of the Club and of the Board of Governors. He/She shall be responsible for the custody of all official papers and the record of all proceedings. He/She shall notify members of their election or expulsion and shall transmit appropriate notice of all regular and special meetings of the members and the Board of Governors. He/She shall maintain a duly classified list of the members of the Club and of all persons entitled to use the various facilities of the Club. Section 4. The Treasurer shall have charge of all receipts and monies of the club, and deposit them in the name of the Club, and shall disburse funds as ordered or authorized by the Board of Governors. He/she shall keep regular accounts of his/her receipts and disbursements and report thereon at meetings of the Board of Governors. He/She shall report to the Board of Governors the names of all members who are in default in the payment of dues for thirty (30) days or more. He/She shall furnish a surety company bond in such amount as may be prescribed by the Board of Governors. His/Her accounts shall be reviewed or audited as determined by the Board of Governors annually, at the expense of the Club, by a certified public accountant. ARTICLE V Committees Section 1. The President, with approval of the Board of Governors, shall appoint such standing and special committees as he/she may deem appropriate and prescribe their powers and duties. Each committee shall consist of a chairman and not less than two additional members appointed by the President upon recommendation of the chairman. Section 2. No committee shall make any expenditure or incur any obligation on behalf of the club without prior approval of the Board of Governors.
Section 3: Board Members: “Any spouses of voting families and voting couples in good standing, if nominated, may be elected to serve on the Board of Governors”, provided only one spouse of a family membership may serve on the board at the same time. ARTICLE VI Nomination, Suspension and Expulsion of Members and Officers Section 1. Resignations shall be submitted in writing to the Secretary but shall not be accepted until the dues and charges of such members are paid in full. Members shall be liable for dues and charges until the date such resignation is received. Section 2. The Board of Governors is empowered, in its discretion, to reinstate any member who has resigned in good standing. (a) If a member resigns and subsequently applies for reinstatement to the same membership status which he/she had when he/she resigned from the club, and said application is made within one year from the date of resignation, he/she shall pay the dues for the membership category during the period of his/her absence together with any assessments levied during the period of absence but shall not have to pay any initiation fee. If the application for reinstatement is more than one year after the resignation in any membership level the applicant shall not have to pay any dues during his or her absence nor shall they have to pay any assessments levied during their absence. Applications for reinstatement shall take precedence over applications for membership. If there is a waiting list for that particular membership status, and the application for reinstatement is made within one (1) year from the date of resignation, the applicant will be placed at the top of said waiting list. If the application is made
Section 2. If the President is unable for any cause to act, or if the office becomes vacant the Vice President shall temporarily perform the duties of the office.
Section 3. The Secretary shall keep minutes of all meetings of the Club and of the Board of Governors. He/She shall be responsible for the custody of all official papers and the record of all proceedings. He/She shall notify members of their election or expulsion and shall transmit appropriate notice of all regular and special meetings of the members and the Board of Governors. He/She shall maintain a duly classified list of the members of the Club and of all persons entitled to use the various facilities of the Club. Section 4. The Treasurer shall have charge of all receipts and monies of the club, and deposit them in the name of the Club, and shall disburse funds as ordered or authorized by the Board of Governors. He/she shall keep regular accounts of his/her receipts and disbursements and report thereon at meetings of the Board of Governors. He/She shall report to the Board of Governors the names of all members who are in default in the payment of dues for thirty (30) days or more. He/She shall furnish a surety company bond in such amount as may be prescribed by the Board of Governors. His/Her accounts shall be reviewed or audited as determined by the Board of Governors annually, at the expense of the Club, by a certified public accountant. ARTICLE V Committees Section 1. The President, with approval of the Board of Governors, shall appoint such standing and special committees as he/she may deem appropriate and prescribe their powers and duties. Each committee shall consist of a chairman and not less than two additional members appointed by the President upon recommendation of the chairman. Section 2. No committee shall make any expenditure or incur any obligation on behalf of the club without prior approval of the Board of Governors. Section 3: Board Members: “Any spouses of voting families and voting couples in good standing, if nominated, may be elected to serve on the Board of Governors”, provided only one spouse of a family membership may serve on the board at the same time. Any Officer, Governor or member of the Club may be suspended or expelled from the Club, or from any position as an Officer or Governor of the Club, by a two-thirds vote of the Board of Governors for conduct prejudicial to the best interests of the Club after written charges have been preferred against him/her and he/she had been given a reasonable opportunity to be heard before the Board or before a committee appointed by the Board. Section 4. A member whose dues or other charges are in arrears for thirty (30) days shall be notified in writing and if he/she fails to remit within thirty (30) days thereafter, he/she shall be expelled, subject however to reinstatement at the discretion of the Board of Governors upon payment of all arrearage. ARTICLE VII Meetings and Elections Section 1. The annual meeting of the members shall be held in the first two weeks of October each year. The date shall be determined by the Board of Governors. (a) A special meeting of the members may be called by direction of the Board of Governors and shall be called by the Secretary upon the written request of twenty-five (25) members stating the object of the proposed meeting. (b) Twenty-five (25) members present in person shall constitute a quorum at an annual or special meeting of the members. (c) Notice of annual or special meetings of the members shall be mailed to each member at least seven (7) days prior to the date of such meeting.
(d) At the Annual Meeting of the members, the President will take nominations from the floor for the Nominating Committee which shall consist of the immediate past president, one (1) Golf Category member with no age restriction, selected by the Board of Governors, and three members elected by the membership, consisting of one Golf Category member, age 60 or older, one Golf Category member, age 21 to 59 and one Non- Golf Category Member. In the event no Non-Golf Category member is nominated, the vacancy shall be filled by a Golf Category member, with no age restriction. No member may serve for more than two (2) consecutive years on the Nominating Committee. The President shall be responsible for opening and closing the nominations. The Committee shall nominate one or more candidates for each position on the Board of Governors to be voted upon at the next annual meeting. The name of each candidate shall be posted on the bulletin board of the Club at least (30) days before the Annual Meeting. Cumulative voting will not be permitted. Additional nominations may be made upon a petition made by twenty-five (25) members, and such nominations, if filed with the Secretary at least fifteen (15) days before the date of the election, shall be posted and voted upon. It shall be the duty of the Secretary to mail each member, at least seven (7) days before the annual meeting, a list of all candidates nominated. The candidate for each Governor position receiving the highest number of votes shall be elected. Section 2. The Board of Governors shall meet at least ten (10) times per year.
a) A special meeting of the Board of Governors may be called by direction of the President or upon written request of three (3) Governors, stating the object of the proposed meeting. (b) A majority of the Board of Governors shall constitute a quorum. (c) Meeting of the Board of Governors may be called upon notice by mail to each member at least forty-eight (48) hours before the date for each meeting, or by giving each member reasonable notice thereof personally or by telephone. ARTICLE VIII Initiation Fees, Dues and Privileges Section 1. The business year of the Club shall be the calendar year. Section 2. Initiation fees shall be determined by the Board of Governors. A schedule of these fees shall be kept on file in the clubhouse office. Any change in the Initiation fee schedule shall be transmitted in writing to the membership within thirty (30) days of the change. (a) If a member moves from one membership status to another status which he/she previously occupied, he/she does not have to pay any additional initiation fees even though they have increased in the interim. If there is a waiting list of the membership status to which he/she moves, he/she must go to the bottom of that waiting list. (b) If a member is moving from one membership status to another status which he/ she has not previously occupied he/she must pay the difference between the current initiation fee for the membership status which he/she previously occupied, and the current initiation fee for the membership status to which he/she is applying. (c) A nominee elected to membership and a member transferring to another member classification for which the payment of initiation fee is required shall thereupon become obligated for the payment of the fee in full. The Board of Governors may prescribe fee payment schedule under which such obligation may be discharged by partial payments within time period as deemed appropriate by he Board of Governors. Section 3. Annual dues shall be as determined by the Board of Governors. A schedule of the dues and fees shall be kept on file in the clubhouse office. Any proposed revision to the dues schedule shall be transmitted in writing to the membership at least thirty (30) days prior to the revision. Section 4. In accordance with rules established by the Board of Governors, members may extend the privileges of the Club to non members accompanying such members, but a non member who resides or maintains a place of business within seventy-five (75) miles from the clubhouse shall not be entitled to the privileges of the club more than once in any calendar month. Section 5. Members are responsible for all debts or other charges incurred by their guests. Section 6. Minimum charge for food service shall be determined by the Board of Governors. A schedule for those minimum charges shall be kept on file in the clubhouse office. Any proposed revision to the minimum food service charge shall be transmitted in writing to the membership at least thirty days prior to the revision,. Section 7. The dues of Senior members shall be maintained at 85% of the Golf Members dues.
Section 8. All operating or capital assessments shall require approval of the Board of Governors and an affirmative vote of a majority of those members voting at a special meeting at which a quorum is present. ARTICLE IX Amendments Section 1. This constitution may be amended, repealed or altered in whole or in part by a majority vote of the members at any annual or special meeting of the members at which a quorum is present. The proposed change shall be mailed to the last recorded address of each member not less than one week or more than three weeks before the time of the meeting which is to consider the change.
ALBANY CONTRY CLUB BYLAWS Revised to March 2010
ARTICLE I Name and Purpose 1.0 The corporation name of the Club shall be Albany Country Club, Inc. It shall also be known as Albany Country Club. It is referred to in these Bylaws as the "Club". 1.1 The object of the Club is the establishment and maintenance of a house and grounds in the County of Albany for social and athletic purposes. 1.2 "Albany Country Club is a traditional, private membership, family-oriented social club, dedicated to providing for its members the highest quality products, programs, activities, facilities and services." 1.3 "To be the premier family-oriented country club in the Capital Region of New York State, with outstanding sports and recreational facilities, excellent clubhouse services, a stable membership and sound financial position providing for future improvements and enhancements." ARTICLE II Property 2.0 Facilities: The property of the Club consists of the golf course, driving range, swimming pool, pool house, clubhouse, tennis courts, paddle tennis courts, and such other buildings and equipment as are necessary for the upkeep and maintenance of the facilities and the comfort of the Members. For the purpose of these Bylaws, the facilities shall include equipment that may be leased for the benefit of the Members or from time to time rented to augment property of the Club. 2.1 Responsibility for Non- Club Property: The Club will not, under any circumstances, be responsible for property of members, visitors, guests or other persons brought onto Club property for any purpose whatsoever. However, the Club may obtain insurance to cover loss of Member's property situated on the Club property. 2.2 Removal of Club Property: Property of the Club shall not be loaned or removed from the premises, or be put to other than that for which it was intended, except when expressly permitted by the Board. 2.3 Damage: Members must pay for all breakage or damage to Club property caused by them, their family members, or their guests. 2.4 Property Rights: No Member or any other person shall have or acquire any property rights or other interest in any property of the Club, except as
provided in the Club's Articles of Incorporation or these Bylaws.
2.5 No food or beverages (alcoholic or non alcoholic) may be brought to, served, or consumed on the Club premises, except that purchased through the regular Club channels. The sale of food or beverages (intoxicating or non-intoxicating) shall be in accordance with all State and Federal Regulations.
3.0 Definitions:
ARTICLE III Membership
3.1 Members: Members shall be classified as provided in the Constitution. Members shall have privileges and obligations as set forth in the Constitution, these Bylaws and the Club Rules. Each Member shall be at least 21 years of age. In the case of a married couple, only one spouse will be deemed to be the Member as designated on the original membership proposal or annual membership acknowledgment. 3.2 Immediate Family: Members' spouses, significant others and unmarried children under the age of 21 living at home, or who are full time students, or serving in the U.S. Armed Forces (collectively, "Immediate Family") shall have all privileges afforded by the Club to the Immediate Family, subject to these Bylaws and the Club Rules. A Member may terminate (or reinstate following termination) the Club privileges of any one or more of the Member's Privilege Children by written notice, effective the first of the month following receipt of the notice by the Club. 3.3 Admission Procedures: Membership in the Club shall be solely by invitation of the Board. A request that an invitation to membership be extended must be made in writing by at least one (1) voting Members in good standing, and the candidate must be known by at least two (2) Members of the Board. All requests for invitations will be submitted to the Membership Committee of the Board for consideration and review. The Membership Committee will carefully examine all information and communication in reference to each candidate. Before each monthly Board meeting, the Membership Committee will submit a list of requests for invitations to the Board, together with its recommendation for action. After reporting to the Board, and on their direction, after receiving an affirmative vote of 75%, the notice of nomination shall be posted on the Club bulletin board for a period of not less than 14 days. Should a nomination be unfavorably acted upon, it may not be submitted again for a period of one (1) year. 3.4 It shall be the duty of each Member of the Club possessed of any information derogatory to the character of a candidate, or knowing of any good reason why membership should not be granted to such individual, to communicate the same to the Membership Committee. The Membership Committee shall hold all such communications in strictest confidence.
3.5 Membership Notification: A newly elected Member shall be notified of election by a letter of invitation, by mail, signed by the President or Secretary on behalf of the Board. Included with the invitation shall be a copy of these Bylaws, the Club Rules, a schedule of applicable dues and fees. 3.6 All memberships shall be for one full year. Members are responsible for twelve (12) months dues from January 1st through December 31st., with the exception of those relocating more than 75 miles of the club ARTICLE IV Vacancies and Duties of General Manager
4.0 Vacancies: In the case of a vacancy in the office of President, Vice President, Secretary, Treasurer, or a Board Member, the Board shall fill such vacancy by appointment. The appointment of a Board Member shall be for the period of time remaining until the next annual meeting of the Club, at which time any vacancy for which an unexpired term remains shall be filled by election. If any Board Member is absent from three (3) consecutive Board meetings, the Board may remove him or her and declare a vacancy. 4.1 General Manager: The General Manager shall manage the affairs; direct the work of employees of the Club, subject to, and in accordance with, the direction of the Board, acting through the President, who will exercise supervisory authority over the General Manager. The General Manager shall prepare budgets of expenses and capital refurbishment and replacement for approval of the Board, and shall be authorized to incur expenses and capital expenditures in accordance with the approved budgets, or as directed by the Board. The General Manager shall attend all meetings of the Board and shall be an ex officio Member of all Committees. The General Manager shall make reports of work and affairs of the Club to the President, Board and at membership meetings, as requested by the President. ARTICLE V Committees 5.0 The Executive Committee shall consist of the Past President and present Officers of the Club. The Executive Committee shall advise the Board in all matters concerning its interest and the management of its affairs, and generally perform such duties and exercise such powers as may from time to time be conferred by the Board. During intervals between meetings, it shall have the authority to exercise all the powers of the Board in the management and direction of the Club. All actions of the Executive Committee shall be reported to the Board at the next meeting succeeding such action. The presence of a majority of members of the Committee shall constitute a quorum, and the affirmative vote of a majority of Committee members shall be necessary for any action. The President of the Club shall be Chairman of the Committee. 5.1 The Club may have one or more Standing Committees. The Standing Committees of the Club may include but are not limited to Executive, Tennis, Finance, Membership, House, Green, Family, Long Range Planning and Golf Committees. 5.2 Committee Members: All committee members shall be Club Members in good standing and shall serve at the discretion and with the approval of the Board. All Committees, excepting only the Nominating Committee and the Executive Committee, if authorized, are advisory to the Board. ARTICLE VI Fees, Dues, Assessments and Privileges 6.0 Fees and Dues: Membership fees, initiation fees and deposits for each classification of membership, and the time for payment thereof, shall be established by the Board. The Board shall maintain and publish a current list of fees and deposits. All monetary transactions between a Member and the Club shall be charged to the Member's account except as specifically provided by the Club Rules and Policies as established by the Board from time to time. 6.1 Assessments: Any Assessments (Capital or Operating) may be levied only after approval by a majority of those members voting at an annual meeting or special meeting of the membership, for which there is a quorum, called for the purpose of considering such Assessment. The Board may not levy any Assessment without such approval of the voting members.
ARTICLE VII Complaint and Grievance Procedure
7.0 Only Written Complaints Acceptable: Member complaints and grievances shall be held in strictest confidence, submitted in writing, signed and dated by the complainant, and appropriately addressed in the manner described in Paragraphs 7.1 and 7.2 hereunder. 7.1 Bylaws and Rules Infraction: Any infractions of the Bylaws and Rules of the Club shall be reported to the Board through its designated Committee or the General Manager. The designated committee or General Manager shall investigate the charge and report its findings to the Board of Governors at its next regular meeting. The Board shall determine the appropriate action to be taken, if any, and the Secretary shall report the Board action, if any, to the complainant. 7.2 Procedure Regarding Employees: Complaints concerning employees of the Club shall be made only to the General Manager. The General Manager shall investigate the complaint and determine the action to be taken by the Club. The General Manager shall advise the complainant of the action taken, if any. Repeated complaints against the same employee shall be brought to the attention of the Board by the General Manager. Complaints against the General Manager shall be made directly to the Club President who will investigate and report to the Board at its next regular or special meeting with the President's recommendation. With the approval of the Board, the President will resolve the complaint with the General Manager and report to the complainant the action taken, if any. ARTICLE VIII Indemnification 8.0 The Club shall indemnify any director, officer, employee or agent of the Club who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the Club). Such persons shall be indemnified against expenses (including attorney's fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him or her in connection with such action, suit or proceeding, including advance expenses incurred therewith and the Club shall hold an insurance policy providing such coverage. The Club shall reimburse an indemnified party for reasonable costs, expenses and attorneys fees incurred in connection with the enforcement of any right to indemnification. ARTICLE IX House Rules 9.0 The General Manager is responsible for the administration of the House Rules, and will report any violation to the appropriate committee. House Rules cover activities in the Clubhouse, the tennis area and the pool area. The Board has delegated enforcement of these rules to the General Manager, and to the supervisory staff. Please comply with their directions. Any questions or concerns about the rules or their enforcement should be brought to the attention of the Manager or the House Chair. Members should not engage the staff directly about the rules, their interpretation or enforcement. They did not make the rules and they can't change them. They have been instructed to carry out the Board's wishes. Any adjustments will be made by the Board or the House Chair. 9.1 Members may extend the privileges of the club and clubhouse to a resident of the Albany area, when accompanied by such member or one of his family to the club premises. Members have the responsibility to register all guests for tennis, pool, and
golf. Such resident guest shall not have the privilege of golf more than once in any calendar month. This limitation (once per month) may be waived for prospective members whose names are posted. 9.2 Members may extend the privileges of the club to non-residents of the Albany area accompanying such non-residents to the club premises. Golf guests will not be admitted without an accompanying member. A member introducing a non-resident guest must sign all slips for such guest unless, with the approval of the Board of Governors or its designee, a card extending the privileges of the club for a two week period has been obtained. The member will be responsible for payment of any charges incurred by such guest. 9.3 Members must obtain permission from the Board or its designee for special entertainment functions at the club. When the Club is used for parties, receptions, etc., it is required that at least one member of the club sponsor the occasion socially and financially, and be responsible for any damage or property loss that might result there from. 9.4 No cash gratuities or tips shall be given to club employees. This rule does not pertain to locker room attendants, golf cart and bag room attendants or valet parking service staff. 9.5 The Club shall close at midnight except when special permission is given for extended hours. Whenever there are fewer than six members and/or guests present, service will cease at 11:00 p.m. 9.6 Food service is available only in the dining rooms, patios, Grille and at the pool. Reservations: Grille and Helderberg Room Casual Dining: a) Reservations are strongly urged at all times for these areas so that we might serve you more efficiently. b) Reservations will be held for thirty minutes past the time specified. Reservations unclaimed after thirty minutes will be forfeited. All reservations must be made for a specific time. 'Open' reservations will not be accepted. c) The kitchen will open for dinner at 5:00 p.m. and in all cases, the food order must be placed with the service personnel by 9:00 p.m. Children may use the Grille Room when accompanied by, and seated with, an adult. 9.7 Children under twenty-one may not sit at the Grille Bar. Usual civility and courtesy required of all members applies to those eighteen and under. Children's dress must conform to the dress code. Their natural energy, exuberance and curiosity (i.e. their behavior in general) must not interfere with other members. Obviously, parents are held responsible for their children's behavior. Again, the Board has delegated its authority to the General Manager and the supervisory staff to insure proper behavior. The Board expects parents to respond to the General Manager and staff in a positive manner. A serious violation of this rule may result in the suspension or withdrawal of club privileges. 9.8 Children under the age of 10 will not be allowed in the clubhouse unless accompanied by an adult. 9.9 Locker room facilities, including showers, etc., are restricted to members (and their guests) who rent lockers on a seasonal basis. Children under age six are not permitted in the locker rooms. Children under age 16 will not be allowed in the clubhouse locker rooms unless accompanied by an adult.
9.10 Smoking in the Clubhouse: Smoking of any kind is not permitted anywhere in the clubhouse.
9.11 DRESS CODE The style and fit of all apparel should be consistent with standards judged to be generally acceptable to the Club Membership. Members and their guests shall dress in a manner befitting the surroundings, atmosphere and specific occasion CLUBHOUSE: It is the responsibility of the members to ensure that their children and guests are dressed properly and neatly in accordance with the Dress Code. Dress standards may be waived for special activities and functions. The weekly emails and flyers will provide additional information. Men are required to wear long pants, collared, mock-style turtle neck shirts and jackets in the Albany Room or Berkshire Room or as decorum dictates. Dress standards may be waived for special activities and functions as specified. Ladies are required to dress in appropriate evening attire during the evening of a more formal nature in the Albany Room or Berkshire Room or as decorum dictates. Dress standards may be waived for special activities and functions as specified. Casual Attire is permitted in the Grille and Helderberg Rooms at all times unless specified. Approved Policy Change – April 25th, 2013 "Denim, appropriate and tasteful, in any color, in good condition (no holes, rips, stains, shirts, shorts or cutoffs etc.), with suitable waist (not baggy or drooping) will be allowed on a trial basis in the clubhouse and outside areas to include the Grille Room, patios, locker rooms, tennis and pool facilities, and banquet rooms (for family events only), and when otherwise specified in the Club’s newsletter or event communications. If an event is advertised as 'country club casual' or 'no denim allowed,' jackets and long trousers will be required for men and appropriate attire for women. Management will be asked to monitor the impact of this policy change and its enforcement.” Golf hats or visors are NOT to be worn in dining areas by men. Golf Shirts must be tucked in unless specifically designed to be worn on the outside. For ladies, the midriff must be covered. 9.12 Bathing suits may not be worn outside the pool area. 9.13 The club will not be responsible for any articles, which members or guests leave in the clubhouse or lockers. 9.14 No member shall remove from the clubhouse any property belonging to the Club. 9.15 Any willful damage or damage due to the negligence of a member or his guest will be charged to the member. 9.16 Gambling is strictly prohibited in the clubhouse. 9.17 Under no circumstance shall a member reprimand an employee of the club. All complaints shall be directed to the General Manager or to a member of the appropriate committee.
9.18 Dogs are not permitted in the clubhouse, or within 100 feet thereof (except on a leash).
9.19 Caddies are not permitted in the clubhouse except in designated areas. 9.20 Activities of minors, when not accompanied by their parents, are under supervision of the General Manager and subject to any rules or restrictions he/she may deem necessary. 9.21 The House Committee or its Chair may waive or modify these rules, or any part of them, from time to time as circumstances dictate. 9.22 Alcoholic Beverages: No member, guest or employee shall serve alcoholic beverages to any person on Club premises who is under the age of twenty-one years. Club employees are authorized to demand identity cards from any person within the Club premises when it is necessary to establish the age of a person seeking alcoholic beverage service, or who is observed to be consuming an alcoholic beverage. Club employees are required to refuse service of alcoholic beverages to any person when they believe that the consumer may be under the age of twentyone years. 9.23 Bar Areas: No person under the age of twenty-one years shall be permitted to occupy an area adjacent to a bar area unless accompanied by a member adult. 9.24 Intoxication Prohibited: Intoxication on Club premises is prohibited. A member or guest appearing to be intoxicated and creating a disturbance may be requested by the Manager on duty, to leave the premises, and if possible, the Manager shall arrange transportation from the Club premises for such member or guest by means available, including commercial taxicab service engaged for the account of the members or guest. Any member refusing such offer of transportation shall be subject to discipline and a guest of a member refusing an offer of transportation may be denied future entry to Club premises. 9.25 Bar Service Refusal: Employees assigned to bar service may refuse to serve alcoholic beverages to members or their guests when, in the opinion of the employee, such persons are believed to be intoxicated or it is believed that they may become intoxicated with further consumption of an alcoholic beverage. The employee making such a decision shall, as soon as it is possible to do so, report his decision to the Manager on duty, who shall promptly inform the member or guest of the Club's refusal of further bar service. The Manager's decision shall be final and shall be accepted by the member or guest. 9.26 In keeping with the Club’s stated purpose as a social and recreational organization and to insure the maximum enjoyment of the Club and its facilities by all members, members, their spouses and immediate family members are prohibited from soliciting other members, their spouse and immediate family members. Solicitation shall be defined, in part, as any action or process, which could result in a personal or professional monetary gain by the soliciting member, their spouse or immediate family members. In addition, solicitations by individual members, to benefit charitable, political or religious organizations, shall not be permitted. Members, their spouses and immediate family members should consider all information contained in the Club’s Membership Roster, as confidential and shall not allow such information to be used for any non-club related purpose. ARTICLE X Golf Rules 10.0 The Director of Golf shall be responsible for the administration of these rules,
especially the conduct and speed of play of the golf course. The Director of Golf has the full authority to carry out these rules and shall report any serious violation to the Golf Committee. Times of Play: 10.1 The golf course shall be open for play and the availability of the golf carts shall be at the discretion of the Golf Course Superintendent or the Greens Chairman. 10.2 All golfers using the course must first check in with the Golf Professional Staff. All play shall commence from the first tee unless otherwise directed by the Golf Professional Staff. When a match has been directed to start on the back nine it will be alternated at the first tee with those waiting. 10.3 On Mondays (Tuesdays after Monday holidays) the clubhouse is usually closed; however, the golf course will be open for play subject to certain restrictions. Generally these restrictions vary depending upon whether an outside group has been scheduled to use the course. a) When no outing is scheduled, members may play after 1:00 pm. The Greens Superintendent may designate a nine that will open for play and play must be restricted in accordance with the Superintendents instructions. b) When outings are scheduled, members will be allowed to play at the conclusion of the scheduled outing. c)
Carts will generally be available on Mondays, but certain restrictions may be necessary on occasion.
10.4 On Saturday mornings, privileged golfers are restricted from teeing off until 12 noon, and on Sundays and holidays, they are restricted until 10:30 a.m., unless otherwise directed by the Golf Professional Staff. In 2010 privileged golfers over the age of 21 may tee off on Sunday morning during the open tee times reserved for regular members by reserving a tee time after 3pm on the preceding Saturday in any of the last 3 open tee times remaining on either nine. These reservations must be made directly with the pro shop (not on line). The golf professional staff may add to or subtract from these tee times depending on the circumstances/conditions in existence on a particular weekend. Carts and Course 10.5 Any physical damage to a cart while in the possession of a person or persons operating the cart will be the responsibility of that person or those persons and the cost of repairs will be charged to the member or members responsible. Pushing of dead carts with another cart is strictly prohibited. 10.6 Players are prohibited from putting their shoes on the armrests or rear fenders to adjust shoelaces. 10.7 Only two people are allowed in a cart at one time. Children under 16 years of age are not allowed to operate a cart. Privileged members 16 through 18 years of age may operate a cart, if they possess a valid driver's license and have obtained the written approval of the Golf Committee. 10.8 Carts must follow the dictated routes and obey all signs posted to control cart traffic. Carts must stay on cart paths around all greens and tees and must, under all circumstances be kept at a minimum of 30 yards from all greens and green side bunkers, unless on a cart path. Please respect the green posts located in the roughs
as you approach the greens. These indicate the need to proceed to the cart path. In addition, please respect any roping around the greens. It is always best to park a cart in such a position that it is not in the intended line of play (i.e. park all carts either behind or to the side of all greens, Never in front). 10.9 Early in the season and after heavy rains, please avoid low places both on the fairways and in the rough. 10.10 The cart manufacturer recommends that the cart operator use acceleration (depress pedal all the way to floor) when operating cart under normal conditions on the level fairway. The battery will hold a charge much longer, and there will be less wear on the electric motor. 10.11 Golf pull carts provided by Albany Country Club are allowed on the course. A player may carry his or her clubs at any time. Rules for use are the same as for electric carts.
10.12 PLEASE USE EXTREME CAUTION WITH CARTS AND AVOID STEEP GRADES. STAY ON CART PATHS WHEN APPROPRIATE. 10.13 Use caution when removing and replacing pins. Guests 10.14 For the purpose of these Golf Rules, there are two categories of guest. An "out of town guest" is an individual invited by a member to use the facilities of the club, who neither resides nor has a place of business within seventy-five miles of the clubhouse, all other individuals invited by a member to use the facilities of the Club are referred to as a "guest". 10.15 For the purpose of these Guest Golf Rules, the golf season is considered to commence on May 1 and continue through September 30. 10.16 Guests are not allowed on the course during the golf season before 1 p.m. on Wednesdays, Saturdays, Sundays, or holidays. Outside the Golf season, arrangements may be made with the Golf Professional for a convenient time to invite guests to play. Out of town guests are not subject to this rule, if playing times are arranged with the Golf Professional Staff in advance. 10.17 Members may extend golf privileges to guests when they accompany their guest. Members may not make arrangements for unaccompanied guests to use the course. A guest shall not have the privilege of admission to the golf course more than once in any calendar month, (excluding organized events, Monday outings, Guest Days). This prohibition will not be strictly applied to out of town guests. 10.18 Members placed on the golf waiting list may play two times each month as their own guest by paying the guest fee.
10.19 The sponsor of each guest and out of town guest will be charged the current greens fee as published. All members, when introducing guests of either category to play the golf course, must confirm said individual (s) are their guests by registering them at the Golf Shop 10.20 Corporate Guests: “Corporate Access and Access Plus designated members and their invited guests shall not have the privilege of admission to the golf course more than twice in any calendar month, (excluding organized events, Monday outings and guest days). This probation will not be strictly applied to out of town guests. “Corporate Advantage designated members will have the same access to the golfing facilities and guest privileges as regular golfing members”. Guests of Corporate

This prohibition will not be strictly applied to out of town guest. Dress Code: 10:21 Albany Country Club is a soft spike facility. Metal spikes are strictly prohibited on the golf course and in the clubhouse. The locker room attendant would be more than happy to change your spikes, although we would ask that you allow yourself a little extra time before going out to play when having this procedure done. Appropriate golf attire is required for anyone using the Albany Country Club's golf course and practice facilities. Violations shall be reported by the Pro Shop to Management in writing for appropriate action Repeat offenders will be reported to the Board of Governors. a)
MEN: Shirts with sleeves, collars, mock-style turtleneck crew, slacks, and Bermuda length shorts are considered appropriate attire. Shirts shall be tucked in at all times. Tank tops, tee shirts, cut offs, jeans and denim of any color, tennis attire, leggings, bike shorts or short shorts are NOT PERMITTED.
b)
WOMEN: Golf skirts, mid-length Bermuda shorts, slacks, golf blouse or shirt both collared, mock style crew neck and sleeveless are considered appropriate attire. Halter tops, tank tops, tube tops, tee shirts, string-strap tops, tennis attire, short shorts, spandex, cutoffs, jeans and denim of any color are NOT PERMITTED. Golf shirts shall be tucked in at all times unless specifically designed to be worn on the outside, but must cover the midriff.
c)
For junior golfers: Junior golfers are subject to the same rules for dress in all golf areas as defined above.
THIS DRESS CODE IS MANDATORY FOR ALL PLAYERS. Improperly dressed golfers will be asked to change before going onto the course. If in doubt concerning your attire or that of a guest, please check with the pro shop. d)
Members must inform their guests of the dress code.
Etiquette 10.22 USGA Rules govern all play on the Golf Course. 10.23 All matches must hold their place. The Golf Professional Staff will provide oversight on the course and may ask a group to speed up play, if they are impeding the play of others. If a group continues to impede play, the Golf Professional Staff is authorized to require the offending group to advance to the position on the course they would have attained in the absence of their slow play. 10.24 It shall be the responsibility of a player to replace divots, to smooth footprints in bunkers, and to repair ball marks on greens.
10.25 No more than four players shall be allowed in any group on the golf course during the golf season. Handicaps 10.26 Golfers are required to post all scores in accordance with the guidelines established by the Golf Committee 10.27 During regular weekend men's events, a player may play from any set of tees (green, white or blue) providing the entire round is played from the same markers. The corresponding handicap for such markers shall be used for computing net score. During pre-determined designated events, all players shall play from the same set of markers. These events will be identified prior to event dates.
Special Regulations Governing Play by Privileged Children of Golfing Members
10.28 Tournament play: Privileged Children of Golfing Members are prohibited from playing in all men's and women's events with the sole exception that they will be allowed to participate in their respective Stroke Play and Club Championship only if they qualify for the Championship Flight. 10.29 Use of golf course by Privileged Children of Golfing Members: Privileged Children of Golfing Members are encouraged to play at all times when their play is not specially prohibited pursuant to Section II of the Golf Rules. However, the Golf Professional Staff is charged with ensuring that play by juniors does not interfere with play by other members and is authorized to curtail junior play under such circumstances. 10.30 Rules concerning use of the golf facilities by children. Policy on the Use of the Club’s Golf Facilities by Children a)
Junior Golfers shall be defined as all children 16 years of age and under, who make use of the Club’s golf facilities.
b)
The Club’s golf facilities shall be defined as the golf course, practice green and driving range.
c)
It is the responsibility of all Junior Golfers, to know and understand the Rules of Golf and all other specific Albany Country Club golfing rules, policies and procedures. The Club’s Golf Professional staff is available during normal operating hours to supply information and answer questions concerning these rules.
d)
All Junior Golfers, between the ages of 8 and 16, are required to attend an annual Education and Etiquette Seminar, in order to establish eligibility to make use of the golf facilities. Younger children are encouraged to attend, but this is not required.
e)
A Junior Golfer Privilege Card will be issued to each Junior Golfer who attends an Education and Etiquette Seminar.
f)
Use of the golf facilities by Junior Golfers, will be governed as follows:
Golf Course: Junior Golfers under 10 years of age must be accompanied by a responsible individual at all times.
Junior Golfers 10 to 16 years old, who have attended an Education and Etiquette Seminar, may play unaccompanied. Junior Golfers 10 to 16 years old, who have not attended an Education and Etiquette Seminar, must be accompanied by a responsible individual. Practice Green and Driving Range: Junior Golfers under 8 years of age must be accompanied by a responsible individual, to make use of these areas. Junior Golfers 8 to 16 years old, who have attended an Education and Etiquette Seminar, may use these areas unaccompanied.
Junior Golfers 8 to 16 years old, who have not attended an Education and Etiquette Seminar, must be accompanied by a responsible individual, to make use of these areas.
g) All Junior Golfers must immediately yield the use of the driving range or putting green, when there are adults wishing to use such facilities. h) Responsible individuals shall be defined as persons 17 years of age and older. i) The Board of Governors has empowered the Club’s Golf Professional staff, to determine when conduct by a Junior Golfer is contrary to the established “Rules of Golf” and/or other specific Albany Country Club golfing rules, policies and procedures. j) When the Club’s Golf Professional staff determine that an infraction of established golfing rules has occurred, the Golf Professional staff shall be guided by the following progressive disciplinary procedures: First infraction of a specific rule: Verbal warning by staff member, with discussion of expected future behavior. Second infraction of a specific rule: Verbal warning by staff member, with a written notice to be mailed to the child’s parents, outlining the observed unacceptable behavior and/or rules violations. Third infraction of a specific rule: Immediate suspension of golf facility use privileges for the remainder of the current day and for the following three golfing days. In the case of an unaccompanied Junior Golfer, the child’s parent(s) will be immediately notified by telephone of the circumstances and will be asked to pick up their child.
Fourth infraction of a specific rule: Immediate suspension of golf facility use privileges for the remainder of the current day. In the case of an unaccompanied Junior Golfer, the child’s parent(s) will be immediately notified by telephone of the circumstances and will be asked to pick up their child. The Junior Golfer will be prohibited from using the golf facilities, until a formal meeting is held with the Club’s Executive Committee. The child’s parent(s) must be present at this meeting. The Golf Professional staff shall provide a written summary of the history of events/incidents leading up to this meeting. The Executive Committee will determine what future disciplinary actions are to be recommended to the Board of Governors for their review. The decisions of the Club’s Golf Professional staff shall be final.
ARTICLE XI Tennis Rules 11.0 All tennis players must check in with the Tennis Pro Shop before the start of play. All guests of tennis players must also be registered at the Tennis Pro Shop. Court assignments are given at the time of check in. A guest is not permitted more than two times in one month unless special arrangements have been made with the Board or unless the guest is participating in tournaments or inter‑club play. Members of other clubs are allowed to be invited as a guest of a member without any fees, but restricted to twice a month. 11.1 All courts are assigned on a first arrival, first serve basis. A waiting list will be in
effect in the event that all the courts are reserved. When there is a waiting list, a limit of 1/2 hours for singles and 2 hours for doubles will go into effect. 11.2 U.S.T.A. rules govern all play on the tennis courts. Proper etiquette should be observed at all times: 1)
Unsportsmanlike conduct will warrant a warning. If the behavior continues the player will be asked to leave the court.
2) Abusive or obscene language will not be permitted. 3) Respect other players that are playing by crossing courts at the end of a game. 11.3 Proper tennis attire is required. For Men: Tennis shorts, collared shirt and tennis shoes. Cut offs, tank tops, T-shirts and swim trunks are not permitted. The shirts must be tucked in. For Women: Tennis skirt or shorts, tennis shirt (no T‑shirts), tennis dress and tennis shoes. NO bathing suits.
11.4 Members are responsible for informing their guest of the above rules and dress code. Continued violations to these rules will be reported to the General Manager, Tennis and Executive committees for action. 11.5 Junior tennis players and their guests must follow the above rules. All junior players will relinquish court privileges when the wait list is in effect. 11.6 The Tennis Director and his/her associates have first priority on two courts when giving private lessons, and three courts for scheduled clinics. 11.7 These rules may be revised during the course of the year. In the event, notice will be posted and given to the membership. ARTICLE XII Swimming Rules 12.0 Club members must sign in and out at pool entrance desk. 12.1 Guests of members must be registered at the desk and guest fees signed for; member sponsor is responsible for informing their guests of pool rules; admission by each guest is limited to twice per month unless special arrangements have been made with the Board of Governors or unless the guest is participating in the Summer Camp program. 12.2 Pool hours and guest fees will be as posted or as otherwise notified. 12.3 Food must be consumed in the designated eating area only. 12.4 Club rules, regulating pool use and related activities are posted at pool entrance and will be enforced. 12.5 Department of Health rules are posted as required and must be observed. 12.6 Rules concerning use of the pool facilities by children: 2020 Pool and Playground Rules

Children under 12 years of age, using the pool and adjacent play ground area, must be accompanied by and be under the direct supervision of their parent (s) or another responsible individual at all times.
•
A responsible individual is defined as a person at least 14 years of age. Such person may be a sibling, other family member, other designated adult or a paid baby-sitter/care provider.
•
All children under 12 years of age should clearly understand who is their designated, supervising parent or responsible individual, while using the pool and play ground.
•
A parent MUST personally introduce paid baby-sitters/care providers to the Pool Director or Assistant Pool Director, upon their first visit to the pool facility. A log will be maintained by the pool staff, noting the name of the baby-sitters/care provider and the specific children whom this person is authorized to supervise. A current telephone number or other effective means of communication with the child’s parent (s) must be provided to the pool staff by the parent (s).

All Food and Beverage must be purchased from the club. NO food or beverages are allowed to be brought in from home.
•
All Food Must be consumed in designated (s) area only. The designated area (s) are within the snack bar fence and perimeter tables under the cabanas on a trail basis. Please be courteous to your fellow members and help the staff keep these areas clean to prevent rodents and infestation.
•
All beverages will be served in plastic cups. No Glass will be allowed on the pool deck.
•
The Board of Governors has empowered the Club’s Pool Staff with the responsibility to insure members and their guest are following ALL pool and playground policies and rules.
•
Floatation devices are NOT allowed in the Pool with the exception of arm floaties and “mermaid tails” which are allowed in the shallow end of the pool ONLY. Policy on the Enforcement of Pool and Playground Policies and Rules
When the Club’s Pool Staff determines that an infraction of any pool and play ground policy or rule has occurred, the Pool’s Supervisory Staff will be guided by the following progressive disciplinary procedures: First infraction of a specific rule: Conversation with the member, in person or by phone, outlining the infraction which occurred and reviewing the policy to be followed in the future. Second infraction of a specific rule: Verbal warning to the member, in person or by telephone, outlining the infraction which occurred and further action to be taken if the situation re-occurs. Written warning to the member, summarizing the above information, with a copy to the Board’s Executive Committee. Third infraction of a specific rule: The member, their children and guests are immediately suspended from use of the Pool and Playground facilities, until a formal meeting is held with the Club’s Executive Committee. The member must be present at this meeting. The Executive Committee will investigate all circumstances that have occurred and recommend appropriate further disciplinary actions to the Board of Governors for their review and action. The decisions of the Pool’s Supervisory Staff shall be final.
ARTICLE XIII
Hunting Rules & Code of Conduct: 13.1 The use of the designated ACC club property for the purpose of hunting by its membership has been a long standing tradition going back to the days of the fox hunts. The club welcomes and encourages all members who may be interested in this club activity to apply in the club office. ARTICLE XIV Miscellaneous 14.0 Gender and Number: All pronouns in these Bylaws shall be deemed to refer to the masculine, feminine, neuter, singular or plural as the identity of the person or persons referred to may require. 14.1 Captions: Captions and headings contained in these Bylaws are as a matter of convenience. In no way should they be construed to define, limit or extend their scope, intent, or any provision hereof.
