Purpose, Vision & Mission Ngäti Kahungunu Iwi Incorporated, with the mandate to represent the people of Ngäti Kahungunu, is the governing body for all aspects of Ngäti Kahungunu Iwi development. The purpose of Ngäti Kahungunu Iwi Incorporated is to: • Promote or assist the education of Ngäti Kahungunu Iwi • Promote the custody and preservation of the beliefs, customs and language of Ngäti Kahungunu Iwi • Promote the social and economic welfare advancement and vocational training of Ngäti Kahungunu Iwi • Promote personal, whänau and community health and wellbeing and raise the living standards of Ngäti Kahungunu Iwi • Promote high quality communications to and for the benefit of the members of Ngäti Kahungunu Iwi

Strategic Objectives

In September 2001 consultation with whänau throughout the rohe of Kahungunu occurred. Whänau shared their views, aspirations and desires which helped shape the development of a vision to guide Ngäti Kahungunu into the future. The vision, known as Kahungunu 2026, outlines the vision and mission statements and seven identified strategic objectives to focus on. The Ngäti Kahungunu Iwi Incorporated planning framework continues to outline priorities, activities and desired outcomes that link directly to the seven strategic objectives within the Kahungunu 2026 vision. Reporting

Ngäti Kahungunu Iwi Incorporated has an obligation to provide an ‘Annual Report’ for its membership to account for the previous financial year 1 July 2019 – 30 June 2020. This document provides a summary report against the objectives set out in the 2019-2020 Annual Plan. It includes steps taken to increase the registration database and gives an overview of the organisation’s performance, including changes in the value of its assets, profit distribution and the summary financial statements.

Chairperson’s Report Me titiro whakamuri e anga whakamua ai. Looking back over our iwi and Taiwhenua structures, they seemed quite clunky at the inception but they came into their own during COVID-19 lockdown, proving the wisdom of our past leaders who showed unswerving support to their communities at large with manaaki, tiaki and arataki at the fore. Those structures have proven vital with the network of whakapapa support and leadership. This has been a highlight of the COVID-19 epidemic which also demonstrated their ability to work alongside settlement groups, local councils and government agencies through strategic leadership and cohesion. Ngä rori e kokikoki atu rä. This year has been a long and windy road as we have navigated the twists and turns of whänau crises such as the attempted uplift by Oranga Tamariki of a baby from her mother’s breast. We told ourselves that “Not one more child! Not one more baby will be taken away or uplifted” without consultation with whänau, hapü and iwi. Our Toiora working group have proven a successful model in working with government agencies on behalf of whänau. The Tihei Mauri Ora (COVID-19) centre that was established to support whänau communities and ethnic minorities was built on our Toiora model and was able to reach our whänau during that time. In my view, these models are the only way forward if we are to be truly effective for the betterment of whänau. Tangaroa piri whare, e ngunguru nei! On the economic front against the headwinds of fierce competition in the fishing industry and the negative impacts during COVID-19 lockdown, Takitimu Seafood’s flourished as it cut through into new innovative sectors such as online solid sales, with better quality product. Other aspects of the economic activities have also proven to be good investments such as Tautäne and Kahutia. The new evolving economic focus is around housing which is not only targeted as a business model but also employment, small business development and housing for whänau. Kahungunu, kia eke! In this financial year we celebrated Te Reo Ki Tua which followed the National Iwi Chair Forum hosted by Ngäti Kahungunu. The event was a huge success with over a thousand Mäori language enthusiasts from across the nation. For this years Kura Reo event, we have had to close off registrations to other iwi and accept registered Kahungunu members only, to enable us to safely host our events during these uncertain times. In the past we have hosted Mäori language enthusiasts from across the nation and hope to be able to do this again in the future. I commend our Chief Executive Chrissie Hape for the care and leadership she provides the operations team. I am pleased to present the 2019 -2020 Annual Report.

Chief Executive’s Statement Kia atawhai, kia haumaru, kia kotahi rä – tätau tätau e! As I write this I hear of the passing of another prominent Ngäti Kahungunu kaumätua, Enoka Munro. His generation helped to pave the way for us to follow as we continue to pursue unapologetically for the rights and interests of our whänau, marae and iwi at every level. Moe mai rä, e koro, i te urunga të taka. “Ki te whaiao, ki te ao märama” Achieving Excellence in all areas of our lives “Kia maumahara ki te mana ähua ake o Ngati Kahungunu” Uphold the absolute uniqueness of the living breath of Kahungunu we continue to strive to do our best in this ever changing world. Our Taiao team, Ngaio Tiuka and Shade Smith, are strong voices for the iwi, backed by science, mätauranga Mäori, knowledge and experience. Their mahi recognises the interrelationship between our environment and the health and wellbeing of our people. They continue to work alongside our Taiwhenua and Board to remind the Crown of their obligations under Te Tiriti and bring the aspirations of whänau, marae and hapü to the fore. Consultation on the refresh of Te Töpuni Tauwhäinga (Ngäti Kahungunu Iwi Inc.’s Education Strategy) started in earnest late into the financial year due to the COVID-19 restrictions. This work led by Tawehi Munro and Whare Isaac-Sharland with the oversight of Jeremy Tätere MacLeod not only considered the Education sector but also reflects the dependencies and opportunities to advance the outcomes through linkages, activity and strategies across the Tari and Taiwhenua. Jeremy continues to lead the waka of Te Reo Mäori revitalisation on behalf of Ngäti Kahungunu and also across Aotearoa. His appointment to Te Taura Whiri i Te Reo (Mäori Language Commission) is a reflection of this. Although COVID-19 has postponed our Te Reo ki Tua festival to 2021, planning is well advanced and looks to be a stunning event, one which will be unrivalled in Aotearoa - so watch this space. The Kura Reo remains a “calendar must” for those of us wanting to learn or advance our reo to the next level. Our events and benefits to our members touches the lives of over 35,000 of our whänau year after year, providing them an opportunity to touch, see and feel the advances we are making on behalf of Kahungunu whänau. It also provides a “litmus test” for the Iwi to get feedback on how we are doing and what you would like to see more of. Ngäti Kahungunu were instrumental in the revival and acknowledgement of Matariki, so it was with a heavy heart that we had to cancel most of our Matariki celebrations along with the Fish Hook summit due to COVID-19. However, it also presented an opportunity for us to consider new ways of sharing this celebration with our whänau which resulted in our very first ‘Virtual Matariki’ celebration where over 12,000 people watched this on the night with more watching later. We also held 3 drive-in movie style ‘Matariki Firework’ displays that were a hit with around 15,000 attending in total. We continue to register our iwi membership to enable open communication that may benefit our members. Ruth Wong and her team Kerrin Fair, Hine Hape, Brooke Greville with our events team Te Rangi Huata and Danielle Keil, should be very proud of their achievements. Toiora and our partnerships with our Mäori providers through Te Tumu Whakahaere o Te Wero and central government continue to move from strength to strength with collaboration and co-design becoming the norm. As an iwi we are not a provider and therefore any system change or co-design of initiatives therefore must be done through the influence, collaboration and cooperation of others. “Not one more baby will be taken away or uplifted” continues to be our approach with Oranga Tamariki. We are collectively identifying opportunities to improve overall practice, advocating for whänau led and whänau centred initiatives with

Chief Executive’s Statement an emphasis on prevention and intervention. Körero Mai Whänau led by Dr Aria Graham, put the unfiltered voices of whänau front and centre. The hurt that was felt and the unresolved actions resonated with many when we shared this report with Ministers and Senior Officials. There is a willingness for change and we will continue to strongly advocate for whänau. During “lockdown” we farewelled Amuri Te Huia as our secondee, who took up a leadership role within the Hastings Site of Oranga Tamariki. We are very grateful for the mahi she did in the iwi office and continue to support her in her new role. We have also recently employed Ana Carroll as her replacement. Ana is already proving her worth supporting and working alongside whänau who require help. Our work with Ara Poutama Aotearoa continues to intensify under our Kawenata “Whakaritenga Pähekoheko” and in accordance with their own strategy Hökai Rangi, with the advent of Mäori Pathways, and Paiheretia te Muka Tangata both aimed at humanising approaches, supporting more targeted rehabilitation and successful reintegration. Iwi are now considering commissioning mahi in partnership with Te Puni Kökiri to provide support to whänau to advance their journey and increase their capability which is exciting. Krystal Haimona is our secondee from Ara Poutama Aotearoa shifting from her Senior Advisor role within Community Corrections to take this on. Her facilitation has been essential in our ability to advance our körero with Ara Poutama Aotearoa. Te Kähui Öhanga, (a collective of Iwi, Taiwhenua and Settlement groups) continues to work with Local and Central Government agencies and Business partners to create better economic and social outcomes for whänau under the ‘Matariki’ the Regional Economic Development Strategy. We are fortunate to have Taash Romana project managing and coordinating the activities on behalf of Te Kähui Öhanga. Taash has also provided much needed project management for the development of ‘Te Kura’ which is a collaborative approach between Ngäti Kahungunu Iwi and New Zealand Police to reduce family harm and build whänau responses and resilience. COVID-19 shocked our world and many thought it would expose our weaknesses and our disconnection. However, what it proved is marae, hapü, Taiwhenua and iwi constructs are strong, well connected and have the ability to reach many whänau that others could not. I applaud our chairman Ngahiwi Tomoana for pushing the Tihei Mauri Ora model and our Board, Taiwhenua, Marae, our community, local and central government partners and especially our Community Champions for their selfless efforts to ensure our whänau and the wider community were supported. I also want to acknowledge the efforts of Henry Heke and Patrick Le Geyt from Hawke’a Bay District Health Board for their advocacy and coordination. We also bid farewell to Tangi-Jean, our Executive Assistant, over lockdown as she embarked on a new career in Community Corrections. Her exposure to the work being done in the Iwi reinvigorated her to get out there and make a difference on the front line and I applaud her for that. Michelle Ferris, her replacement, is aptly juggling the many requests and demands for our time. I would like to thank her for her continued support. Finally, I would like to thank our chairman Ngahiwi and the Board for their continued support. As we move forward with our partnerships with Central Government, their advocacy will be ever more important, particularly as we move to shift these to a Taiwhenua level. I am forever humbled to be the Chief Executive of an amazing iwi, and tari. Ehara taku toa i te toa takitahi, engari he toa takimano!

Our Year at A Glance 2019-2020 This year was an extraordinary one year with the worlds COVID-19 pandemic driving us out of our comfort zones. During this time the practice of tikanga through manaakitanga and kaitiakitanga catapulted Mäori custom to the forefront of looking after whänau/families and our communities. All around the country, without hesitation, Mäori and iwi businesses, great and small, dropped all normal activities in support of our communities. These classic networks were revived in order to achieve speed, mobility and agility in reaching whänau and communities that needed medical supplies, equipment, food and so forth. Ngäti Kahungunu Iwi Incorporated partnered with the Hawke’s Bay District Health Board and established the Tihei Mauri Ora Centre – a distribution outlet for resourcing our vulnerable elderly and needy families in our communities. The partnership was one thing, but the existing structure from iwi to Taiwhenua, marae and communities was wonderful to see in action. Central, regional, and local government authorities recognised that Mäori organisations were able to respond with greater rapidity and greater reach into communities, more than they could ever achieve. We should never take for granted our natural ability to manaaki and do what is needed, when it is needed. Although our year was somewhat moved with excitement, we still achieved quite a lot in this time. Date

Staff Members 2019-2020 2019-2020 saw a number of new staff join the iwi workforce to build on the capacity of the office. Taash Romana joined the team to manage the Te Kähui Öhanga o Takitimu – Economic Development programme. Amuri Te Huia came to us as a secondee from Oranga Tamariki to help the iwi work with our whänau in need. Krystal Haimona, also came as a secondee from the Department of Corrections to support the Te Ara Toiora – wellbeing aspirations of the iwi. Brooke Greville joined the Smart Services team as the new Office Administrator and recently Ana Carroll joined our team as the Senior Advisor for the whänau wellbeing strategy. Throughout the year we bid farewell to the Kahutia Accord Programme Director, Tracee Te Huia, who took on the General Manager Mäori role at Mid Central District Health Board. Ministry of Social Development secondee - Rawinia Lewis moved sideways into the Kahungunu Asset Holding Company to take on the new Business Manager role. Oranga Tamariki secondee Amuri Te Huia finished her secondment to take on the Assistant Site Manager role at the Hastings Oranga Tamariki office, and Executive Assistant, Tangi-Jean Mihaere finished to take on a role at the Department of Corrections.

Environment & Natural Resources The last year has seen further changes nationally and within Ngäti Kahungunu of particular relevance to the mahi within te Taiao me öna rawa. The Government finally set a new National Policy Statement for Freshwater Management 2020 – unfortunately politics reduced its effectiveness by not dealing with the rapid increase of nitrate nitrogen in our waterways. In Ngäti Kahungunu, the Tamatea rohe may have the most cause for concern. However, the overall trend of stronger direction to local Councils has continued. In particular, further direction to the fundamental policy of – Te Mana o te Wai. Through its establishment of a hierarchy of obligations: (a) first, the health and well-being of water bodies and freshwater ecosystems; (b) second, the health needs of people (such as drinking water); (c) third, the ability of people and communities to provide for their social, economic, and cultural well-being, now and in the future. This management approach largely aligns with Te Ao Mäori and Ngäti Kahungunu Iwi, and underpins the approach the Taiao unit has taken and will look to leverage further locally and nationally. To ensure this apparent fundamental obligation moves beyond words and meaningfully recognises the Kaitiakitanga of tangata whenua. Our submissions contest that management of our water ways by placing the health, wellbeing, mauri and mana of the water body first is not only logical but can only be truly implemented within a Te Ao Mäori framework. In terms of Crown or public policy and delivery; this only exists in the Department of Corrections, through the ‘Hökai Rangi’ Strategy. However, a Te Ao Mäori management framework is more than appropriate within official Taiao management / RMA context. There have been numerous examples of constant failures under the current regime that look for band aids. No better example exists than in Heretaunga, where thousands of people fell ill and in extreme cases there was loss of life through contaminated drinking water; numerous adverse impacts to peoples well-being may be long term. Ngäti Kahungunu and Heretaunga Taiwhenua objected to the placement of the Brookvale bores, yet compromised by allowing Council 10 years to relocate the bores. If the iwi didn’t compromise, the largest gastro outbreak in this country’s recorded history may not have occurred. A Te Ao Ngäti Kahungunu world view is inclusive and beneficial for the whole community, this highlighted by the iwi setting national case law for water quality through the Environment Court. The Taiao unit looks to bring capability, history and advocacy to these important discussions, as to not reinvent the wheel but learn from past mistakes and promote an enduring and meaningful way forward. In terms of those official organisations who wish to “consult” this approach is not always met favourably. The Taiao Unit position on behalf of Ngäti Kahungunu is to advance all Taiao objectives, Kahungunu ki Uta, Kahungunu ki Tai. There are challenges from the Moana to the Whenua, with greater investment from Mäori organisations and greater demand for environmental exploitation. Catchment plans, resource use, land use, water use and dischargers – tangata whenua are being pulled in every direction, providing clarity and oxygen to natural resources decisions and what this means for tangata whenua without biased influence is a constant struggle. The infamous ‘tick box’ engagement is alive and well, for tangata whenua significant space in terms of writing the agenda exists. Water rights and interests is a significant battle field, local and nationally, the Waitangi Tribunals relevance is not diminishing, nor do treaty settlements automatically turn adverse outcomes around. Anyone can own a gym membership but it doesn’t mean the physical outcomes will occur. Moana Jackson and Professor Margaret Mutu’s important research

Key Kahungunu Taiao Goals • Advocate for Ngäti Kahungunu objectives and values to be incorporated into natural resource decision making and policy development in local, regional and central government. • Complete a review of the Kahungunu Ki Uta Kahungunu Ki Tai Strategic Plan. • Support hapü to progress hapü management plans to enhance their role as Kaitiaki of natural resources. • Develop quality relationships with organisations to assist us to achieve our natural resource objectives which help to build the capacity and capabilities of our people. To assist in progressing Ngäti Kahungunu goals and we support research that aligns with our information needs; has relevance to our local communities and the wider iwi; recognises and resources the mätauranga that tangata whenua possess and where collaboration is practical weight is given to where respectful and meaningful relationships exist. Taiao related research the iwi supports: Commercial fishing practices that allow juvenile fishes to escape and minimises impact on ecosystems. Including testing fishing nets with Cornish Fishermen Rich Burch and his innovative net designs lead and funded by Inshore Fisheries NZ. We are also supporting fishing trials led by NIWA with local fisherman Karl Whal and his cage cod-end that through the use of an underwater camera and the manual opening of a hatch, which allows unwanted fish to escape. The Taiao Unit is advising the development of a Marine cultural health programme, that is funded by the Port of Napier and inclusive of marae / hapü groups whom we support, and we’re also involved with other stakeholders in Hawke’s Bay in identifying information gaps and research priorities. There are also a number of potential fishing trials and research that we’re in progressing going forward, including research related to bottom trawling. This fisheries research is significant, and arguably world leading. We also support investigating the potential impacts of Climate Change and sea level rise on white bait spawning lead by GNS, endorsing a Kahungunu PhD candidate. Further in the whenua space is ongoing research to understand our braided rivers and their natural character in terms of recharging our important ground water (drinking supplies), understanding the age of our groundwater and investigating ways in improving the mätauranga, science and modelling that drives decision making of this precious resource. The unit provides expert advice, experience and comments in support of tangata whenua, on council plans, particularly catchment plans, strategies, policy statements, fisheries quota reviews, ACE carry overs, minimum legal size reviews and more. In whatever we do we are always looking to enhance or foster capability building for Ngäti Kahungunu tangata whenua / kaitiaki. We open to working with Taiwhenua and settlement groups on kaupapa in common as these collaborations are steadily growing. Over the last years we’re fortunate to have the skills and expertise of Shade Smith, marine scientist and his involvement in the afore mentioned research, in particular the lead role he has played in the fishing net trials. You will need your iwi number to access discounts into iwi run events, receive sponsorship, scholarships and other heavily discounted opportunities. COMMUNICATIONS Ngäti Kahungunu Iwi Incorporated continues to take pride in the way we communicate with our registered iwi members, our potential members, other iwi networks and with the public in general. This year we were tested with the COVID-19 alert level 4 lockdown, and we needed to be smart and improve the way we communicate with our members. The iwi website, email - pänui ki te iwi network and online social media became the best way to communicate with our people. This brought with it challenges however, given that the most vulnerable and our taonga whom needed us the most don’t use computers phones or any kind of electronic device. Our Taiwhenua/Rohe became a massive operational network of support, not only for our own, but for the whole community at large. To those wonderful unsung heroes who worked tirelessly in our communities to serve our people – Ngä mihi nui ki a koutou katoa. In June this year we celebrated a five year relationship with Hawke’s Bay Today and Tihei Kahungunu – an 8-12 page tabloid that features a Mäori voice in mainstream media on a monthly basis. This is a huge success as we are the only iwi in the country who has this kind of lasting relationship. We now feature twice a month, which gives us great coverage for our iwi. Hawke’s Bay Today delivers to 83% of our Kahungunu rohe and an electronic version is sent out through our iwi email networks on the same day. REGISTRATIONS 2020 has been a challenging year with the COVID-19 pandemic, however we still managed to increase our database by 2973 new members. As at 30 June 2020 our iwi membership total was 35,212. We are currently working with our Taiwhenua office staff to be able to register new and update member information from their respective offices. Benefits to Members EVENTS Ngäti Kahungunu Iwi Incorporated strives to produce and sponsor events that strengthen hauoratanga, whanaungatanga and Kahungunutanga. Waiata Mäori Music Awards September 2019, Clubs Hastings This iconic national event founded by Tama Huata in 2006 honours the outstanding achievments of traditional and contemporary music composition and performance. The full house sign again went up at the 500+ capacity Clubs Hastings venue. Ngäti Kahungunu Iwi is proud to sponsor Waiata Mäori Music Awards in our rohe. Kahungunu AGM Pä Sports Day November 2019, Splash Planet, Hastings In November over 900 players from marae teams competed in netball, volleyball, kiwi sports, Kï-o-rahi and euchre. Whänau filled buses from Wellington, Masterton, Dannevirke and Wairoa. The 45 minute outdoor AGM meeting was live streamed to 9,000 viewers. Takitimu Seafoods ‘shouted’ a fish and chips lunch for 1100 delighted members and hundreds of Kai Hau Kai care packs were distributed to grateful whänau at the end of the day. Iron Mäori December 2019, Ahuriri, Napier The move to new venues and new courses for 5 events over 3 weeks was enthusiastically embraced by thousands of Iron Mäori athletes of all ages. Frimley Pools and Park, Hastings is the new home for the tamariki, rangatahi and kaumatua events providing a safe and friendly surroundings. Kaumatua loved the new venue and out of town groups from Wellington and Rotorua joined our local Pakeke. The two major Iron Mäori events moved to Perfume Point, Ahuriri with the swim course on the beach, the stunning bike course swept past the port to Cape Kidnappers and the run course was along the picturesque West Quay. Prizegiving took place at Napier’s iconic beach side Soundshell. Ngäti Kahungunu Iwi has sponsored Iron Mäori since it started. We thank the founders Heather & Wayne Skipworth and their 100+ volunteers for their commitment to this kaupapa. Waitangi Day February 2020, Hawke’s Bay Sports Park, Hastings Thousands turned out to enjoy our national day celebrations.The weather was the best yet with a record crowd turning up to enjoy the wonderful entertainment, kai and free Mahons thrill rides. Netball, touch and league 9s tournaments attracted great crowds. Matariki Whänau Festival June 2020, Kahungunu wide Our lives have changed forever. Due to the seven week coronavirus pandemic lockdown from 25th March with uncertainty of our future, most major Matariki events in Aotearoa were cancelled. To keep whänau safe we changed our delivery of Matariki by mounting a Virtual Matariki on facebook and three drive-in Matariki fireworks displays at Level 1. The results were amazing. Our biggest turnout ever. 12,000 viewers watched the Virtual Matariki on facebook from home and abroad and 15,000 people turned up to the Matariki fireworks displays in Dannevirke, Hastings and Napier. SCHOLARSHIP GRANTS Ngäti Kahungunu Iwi Incorporated is pleased to support its iwi members who are seeking a higher education and forging through regardless of the stress and pressure that COVID-19 brought. This year the organisation supported 99 students with a general scholarship worth $500 each, and three postgraduate students with a scholarship worth $5,000 each. Our partnership with Victoria University enabled us to match funds for 11 Kahungunu tauira studying at Victoria University which gave the iwi the opportunity to support more Kahungunu students. Background The Company was established in 2005 by Ngäti Kahungunu Iwi Incorporated (NKII) to receive and manage the Treaty of Waitangi fisheries settlement on behalf of Ngäti Kahungunu. The Company vision is to “Empower Ngäti Kahungunu Iwi Incorporated through sustainable economic and commercial success” and has a mission to “grow and maximise the assets of Ngäti Kahungunu Iwi Incorporated so the full potential and aspirations of our iwi will be met.” To achieve the vision and mission of the Company, the following objectives have been set: • Kia Mataara: To ensure the assets of the Company are invested prudently and within the Company’s purpose and rules. • Whakapakaritanga: To improve the value of the Company’s capital base. • Whakamana: Generate sufficient income to support the needs and aspirations of Ngäti Kahungunu Iwi Incorporated. Board Composition In the last year we have farewelled the long-standing Chair of the Company, Rangi Manuel as well as Tämaki-nui-a-Rua stalwart, Hayden Hape. The Company acknowledges the strong contributions that both of these Directors have made to meeting the Company objectives. This year three new well-qualified Kahungunu Directors have joined myself and the Deputy Chair, Heather Te Au - Skipworth on the Board. Barry Wilson, who brings with him a wealth of business savvy and commercial experience; Ian Taylor, a digital entrepreneur of global recognition and recipient of the Innovator of the Year award in 2019 and; JB HeperiSmith a man with great mana and community networks, who provides an appropriate cultural steer on the Company’s direction. Nature of Business The business of the Company is to manage the fisheries settlement assets and other commercial assets of Ngäti Kahungunu Iwi Incorporated (NKII) for maximum commercial benefit. Fisheries Assets Takitimu Seafoods continues to be both a challenge and an opportunity for the Company. During the COVID-19 lockdown, Takitimu Seafoods continued to operate as an essential service, not only providing kaimoana across the country through the domestic internet channels, but also integral in the provision of pätaka fish for vulnerable whänau during this time. This year, Takitimu recorded a total trading income of $22,900,258, with a loss of $3,583,729. While a loss was anticipated when the acquisition was made, this was exacerbated through the impacts of COVID-19. Strategies are in place to reverse this position, including Takitimu Seafoods fishing and processing quota leased from other iwi partners.

Kahungunu Asset Holding Company Ltd Chairman’s Report This year, the Pänia Reef Fisheries Limited Partnership (the Glomfjord), of which the Company is a 50% shareholder, made a profit of $435,717. A significant turnaround from the previous year’s loss of $2,277,830. This turnaround was the result of changing from fresh fishing to freezer fishing, following the installation of plate freezers. The Glomfjord now boasts a state of the art factory, fully compliant to export standards – allowing Pänia Reef Fisheries to export its own fish, and realise the rewards. The Glomfjord and Takitimu Seafoods complement the other key fishing assets of fishing quota and shares in Aotearoa Fisheries Limited (AFL), Napier Mussels Limited and Fiordland Lobster Company Limited The Company received the following settlement assets to manage on behalf of Ngäti Kahungunu in accordance with the Mäori Fisheries Act 2004: • August 2006: 162,942,485 quota shares valued at $9,436,871 • August 2006: 7874 income shares in Aotearoa Fisheries Ltd, valued at $19,874,733 • July 2010: 501,527,278 quota shares valued at $16,933,500 • September 2012: Aquaculture pre-commencement space settlement cash $1,499,845 • Cash of $2,030,106. The Company received a total of 15,748 shares (7,874 Voting, 7,874 Nonvoting) in Aotearoa Fisheries Ltd (AFL) as part of the fisheries settlement which is a 6.3% holding in AFL. Non Fisheries Assets In August 2019, the Company sold the lobster factory in Auckland, using those proceeds to purchase two properties on Pandora Road, Ahuriri, where Takitimu Seafoods currently operates from. In March of this year, the Company assumed ownership of Kahutia Limited Partnership - the forestry production and carbon trading company established by Ngäti Kahungunu Iwi Incorporated (NKII). The accession of Kahutia was quickly followed by a joint venture with Tangoio South Trustees (5% shareholding) and Hineuru Holdings Ltd (47.5% shareholding). Kahutia completed the purchase of Kenderdine forest earlier this year, and continues to seek other opportunities to grow the forestry asset base and associated carbon credits. COVID-19 Like most other companies in Aotearoa, and indeed globally, the Company was not immune to the effects of COVID-19. While we are proud to say that our interests in primary production were considered essential services during the lockdown, the bearing on the domestic and global economy had a detrimental effect on our overall profitability. The Company forecasts these COVID-19 waves to reverberate throughout the next financial year, and beyond. Financial Performance This year the Company has chosen to consolidate Takitimu Seafoods into the accounts, as it is considered to be a significant component of the operations. This has also necessitated updating the 2019 accounts in the same manner which is reflected in the tables and commentary below. The Company has recorded a before tax profit of $5,295,148.

The Company has reported an increase in equity of $2,640,147 for the year ended 30 June 2020. During the year the Company paid a dividend to NKII of $2,655,000 (2019: $2,355,000). FINANCIAL PERFORMANCE BY ASSET CLASS Shares in Aotearoa Fisheries Ltd The Company received a cash dividend from AFL of $1,075,6392 during the year (2019: $653,861). The net book value (NBV) of the Company shareholding in AFL as disclosed in its Annual Report on 30 September 2019 was $28,536,825 (30/9/18: $27,495,693)

These shares represent a 5.87% holding in FLC and have been included in the Company accounts at cost. The net book value of the Company shareholding in FLC as disclosed in its annual report at 31 March 2020 was $14,616,720 (31/3/19: $14,008,156). Last year the auditors recommended that the FLC Dividend not be accrued as it had been in previous years. Therefore the accrual has not been raised in the 30 June 2020 year. Quota - ACE sales Company earnings from the lease of Annual Catch Entitlement (ACE). decreased by $1,975,894 from the previous year. This reflects a drop in the value of crayfish lease price due to COVID-19, and ACE now leased to Takitimu Seafoods, which is eliminated on consolidation. Shares in Trident Systems General Partner Limited The Company owns 3,705 shares in Trident Systems General Partner Limited (Trident). This represents a 1.18% holding in that company. These shares have been included at cost. The net book value of the Company’s share as disclosed in its annual report at 30 September 2019 was Nil (30/09/2018: Nil). Shares in Salco Quota Co Limited Partnership The Company acquired 100,000 units with Salco Quota Co Limited partnership in 2014 for the purchase price of $100,000. An additional 135,135 units were purchased during 2016 for $250,000. All units have been included at cost. Pänia Reef Fisheries (GP) Limited Pänia Reef Fisheries (GP) Limited is the general partner of Pänia Reef Fisheries Limited Partnership, of which the Company is a 50% shareholder. HBS Tuna Limited is the other 50% shareholder and joint equal partner in Pänia Reef Fisheries Limited Partnership. Pänia Reef Fisheries Limited Partnership The Company made a capital contribution of $750,000 to Pänia Reef Fisheries Limited Partnership during the 2017 financial year. Control has been assessed as joint therefore the accounts have not been consolidated. The profit of $217,859 based on the 30 June 2020 (2019: $1,138,915 loss) audited financial statements has been recognised.

Going Forward An uncertain domestic and global economy in the face of COVID-19 requires both nerves of steel and a steady hand. Though the Company’s foothold in primary production, and a growing local and international market increasingly accessible through internet channels, brings hope for the future. The outstanding turn-around of Pänia Reef Fisheries has been both dramatic and commendable. However the success of Takitimu Seafoods continues to elude, and will be a primary focus for the year ahead. STATEMENT OF ACCOUNTING POLICIES Reporting Entity The reporting entity is Ngäti Kahungunu Iwi Incorporated (the Society). The Society is domiciled in New Zealand and is a charitable organisation registered under the Incorporated Societies Act 1908 and the Charities Act 2005. The financial statements comprising the Society and its controlled entities, Kahungunu Asset Holding Company Limited and Takitimu Seafoods Limited Partnership, together the “Group”, are presented for the year ended 30 June 2020. These Group Financial statements and the accompanying notes summarise the financial results of activities carried out by the Society. Basis of Preparation Statement of Compliance The Group financial statements have been prepared in accordance with Generally Accepted Accounting Practice in New Zealand (“NZ GAAP”). Ngäti Kahungunu Iwi Incorporated is deemed to be a Public Benefit Entity – a PBEs primary objective is to provide goods and services for community or social benefit. Ngäti Kahungunu Iwi Incorporated as a public benefit not-for-profit entity is eligible to apply Not-for-profit Public Benefit Entity International. Public Sector Accounting Standards (PBE IPSAS) on the basis that it does not have public accountability and it is not defined as large. The Board has elected to report in accordance with Tier 2 Not-forprofit PBE Accounting Standards and in doing so has taken advantage of all applicable Reduced Disclosure Regime (“RDR”) disclosure concessions. This decision results in the Group not preparing a Statement of Service Performance. The Group Financial Statements comply with Public Benefit Entity International Public Sector Accounting Standards (“PBE IPSAS”) and other applicable financial reporting standards as appropriate that have been authorised for use by the External Reporting Board for Not-ForProfit and For-Profit entities. Kahungunu Asset Holdings Company Limited has been restated from NZIFRS RDR to PBE IPSAS RDR for Group Reporting. Takitimu Seafoods Limited Partnership has been restated from the Special Purpose Financial Reporting Framework for use by For-Profit Entities 2018 as issued by Chartered Accountants Australia New Zealand to PBE IPSSAS RDR for Group Reporting. Summary of significant accounting policies The significant accounting policies used in the preparation of these financial statements as set out in the full financial statements. SUBSEQUENT EVENTS There are no subsequent events to disclose at 30 June 2020. (2019: Subsequent to balance date the Company sold 15 Ron Driver Place to a wholly owned subsidiary of Fiordland Lobster Company for $6,687,500. The proceeds were used to purchase properties at 43 and 45 Pandora Road and 54 Pandora Road, which Takitimu Seafoods Limited Partnership operates from). ABILITY FOR THE GROUPS SIGNIFICANT INVESTMENTS TO OPERATE AS A GOING CONCERN During the period, the Limited Partnership has reported a loss of $3,583,729 (2019: $1,574,212). The Limited Partnership is reliant on sufficient working capital to lease ACE to supply its operation.

Significant up-front costs are required to lease ACE in October 2020 and January 2021. As at 30 June 2020, the Limited Partnership reports negative working capital of $3,226,874, which is insufficient to fund the required ACE leases. The Limited Partnership is reliant on ongoing working capital support from Kahungunu Asset Holding Company Limited, its sole shareholder including not calling on the outstanding amounts already advanced. The Directors believe the going concern assumption is valid and have reached this conclusion having regard to the circumstances which they consider likely to affect the Limited Partnership during the period of one year from the date these financial statements are approved. While the Directors are confident in the Limited Partnership’s ability to continue as a going concern, the reliance on these factors give rise to a material uncertainty that may cast significant doubt on the Limited Partnership’s ability to continue as a going concern. IMPACT OF COVID-19 In March 2020 the World Health Organisation designated COVID-19 to be a global pandemic. During the period of 25 March to 1 May 2020 the New Zealand Government shutdown most businesses except for the essential service providers. Takitimu Seafoods Limited Partnership although deemed an essential service provider was unable to operate the retail shops in Napier and Hastings during this period. It’s wholesale business was also impacted with much of the domestic sales shifted to the Limited Partnership’s online platform. During this COVID-19 pandemic time, Ngäti Kahungunu Iwi Incorporated continued to support their members and community through the adoption of Tihei Mauri Ora model ensuring they were safe and well. They received special COVID-19 funding from Te Puni Kokiri, Ministry of Social Development and the HB District Health Board to provide this support. The funding was passed on to Taiwhenua to fund the 7 Community Hubs across the Kahungunu rohe under the model. These hubs provided support to Mäori whether tangata whenua or mataa waka and non-Mäori who live in the rohe of Kahungunu. These summary Financial Statements cannot be expected to provide as complete an understanding as provided by the full financial statements. An unmodified option was issued on the full group financial statements. Each tribal member is entitled to obtain a copy of the full financial statements upon request. Annual Plan Ngäti Kahungunu Iwi Incorporated (NKII) recognises the need to review its objectives and align its strategies with the needs of whänau & hapü. In March 2020 the NKII Board reviewed the 2019-2020 Annual plan to evaluate what we have achieved and carefully assess the best way to drive the organisation forward into the future. The Board identifies the importance of remaining relevant with the current environment and ensuring that our efforts contribute to our 25year vision. The Board Priorities are: • Housing & Home Ownership, Employment, and Education, The iwi strategies are: • He Mahere Rautaki Hai Haumanu I Te Reo O Ngäti Kahungunu / Kahungunu, kia eke - The Revitalization of Te Reo o Ngäti Kahungunu; • Kahungunu Ki Uta, Kahungunu Ki Tai - Marine and Freshwater Fisheries Strategic Plan; and • Te Ara Toiora O Ngäti Kahungunu, the Kahungunu Wellbeing Strategy. The Ngäti Kahungunu Iwi Incorporated Annual Plan describes the key objectives for the 2020-2021 year. These objectives are based on the iwi’s seven pou that make up the 25 year vision (2001-2026) (1) Economically Strong, (2) Participating Citizens of the World, (3) Tinorangatiratanga, (4) Making our Mark, (5) Strong, Healthy, Vibrant whänau, hapü, marae, (6) Culturally Strong and (7) Protecting our Environment. The objective of this plan is to achieve the organisations mission which is to enhance the mana and wellbeing of Ngäti Kahungunu. KAHUNGUNU, KIA EKE! STRATEGIC PLAN FOR THE REVITALISATION OF TE REO MÄORI WITHIN NGÄTI KAHUNGUNU • Re-establish the Runanga Mätauranga (Mätauranga Board); • Refresh the Ngäti Kahungunu education strategy and implementation plan; • Plan, lead and manage the Ngäti Kahungunu Kura Reo event to capture new speakers and increase proficiency of existing speakers; and • Keep our iwi members informed.

TE ARA TOIORA O NGÄTI KAHUNGUNU KAHUNGUNU WELLBEING STRATEGY • Continue to meet with Te Tumu Whakahaere o Te Wero advocacy group to determine the health and wellbeing needs of our people; • Establish and consolidate strategic relationships with key central and local government agencies to facilitate and increase effective provision that contributes to achievement of strong, healthy, vibrant whänau. These agencies include Oranga Tamariki, Corrections, Justice, Housing and Employment agencies; • Fill the Director of Te Ara Toiora vacancy to direct, manage and monitor these aspirations; and • Keep our iwi members informed.

Increase our media releases of Kahungunu achievements; • Highlight the iwi’s key messages and put them in all communication formats including email signatures, website, and all pertinent communications; • Use te reo Mäori in all communications; and • Record modern Kahungunu history for future generations.

NGÄ TÜHONOHONOTANGA - POLITICAL • Strengthen our relationship with the hapü claimant groups within the Ngäti Kahungunu rohe; • Improve Kahungunu representation on local and regional councils; • Influence policy developed by government agencies, local and regional councils;  • Monitor the performance of these entities based on Kahungunu criteria; and • Keep our iwi members informed. TE WHAKATIPU ÖHANGA - ECONOMIC DEVELOPMENT • Develop and progress the economic status of Kahungunu whänau, hapü, iwi by continuing to work with our iwi partners to progress and implement the Ngäti Kahungunu Economic Development Strategy; and • Keep our iwi members informed.
