Credit cards may be used to make occasional incidental purchases as determined from time to time by the General Manager. 3. All food, beverage, merchandise and services of the Club charged to the member's Club account will be billed monthly and each member's Club account shall be due and payable upon receipt of the monthly statement. 4. Club accounts shall be deemed delinquent from the date first billed if payment is not received within 30 days after the date of the monthly statement. Past due bills will be subject to a one and one-half percent (1.5%) late payment charge per month, but not to exceed the maximum amount permitted by law. The late payment charge shall accrue 30 days from the date of the monthly statement until the account is paid in full. Members having past due bills may be charged a reinstatement fee at the discretion of the Club to reactivate an account once it is deemed delinquent.

5. If a member fails to pay any Club account within 60 days of when it is first billed, the Club shall have the right to suspend membership privileges in the Club at any time until the delinquent account is paid in full. Continued delinquency for a period of 120 days from the date a Club account is first billed or repeated incidents of delinquency by a member may result in termination of membership in the Club. 6. If the Club account of any member is delinquent, the Club may at its option take whatever action it deems necessary to effect collection, including without limitation, suspension or termination of a membership or legal action. If the Club commences any legal action to collect any amount owed by any member or to enforce any other liability of any member to the Club, and if judgment is obtained by the Club, the member shall also be liable for all costs and expenses of such legal action and reasonable attorneys' fees, including any fees required in connection with appellate proceedings. MAILING ADDRESSES 1. Each member shall be responsible for filing with Member Services, in writing, preferably on a form provided by the Club, his or her mailing/email address and any changes thereto, where the member wishes all notices and invoices of the Club to be sent. A member shall be deemed to have received mailings from the Club ten days after they have been mailed/emails to the address on file with the Club. In the absence of an address on file at the Membership Office, any Club mailing may, with the same effect described above, be addressed as the General Manager may think is most likely to cause its prompt delivery. 2. The Club must be notified in writing of any change of address. Failure to do so shall constitute a waiver of the right to receive club notices, bulletins and any other communications, and a violation of these rules. MEMBERSHIP CORRESPONDENCE Complaints or suggestions concerning the management, service or operation of the Club should be in writing, signed by the Member and addressed to the Club General Manager. Errors in billing charges should be directed to the attention of the Accounting Department. CLUB SERVICES AND ACTIVITIES 1. Any such personal property which may have been left in or on the facilities for six months or more without payment of storage thereon, may be sold by the Club, with or without notice, at a public or private sale, or may be otherwise disposed of, and the proceeds, if any, shall belong to the Club. 3. No person shall remove from the Club's premises any property or furniture belonging to the Club without proper written authorization. Every member of the Club shall be liable for any property damage and/or personal injury at the Club, or at any activity or function operated, organized, arranged or sponsored by the Club, caused by the member, any guest or any family member. The cost of such damage shall be charged to the responsible member's Club account. 4. The member, his or her family members and guests shall hold the Club and their affiliates, directors, officers, employees, representatives and agents ("Indemnified Parties") harmless from any

and all loss, cost, claim, injury, damage or liability sustained or incurred by it, him or her, resulting here from and/or from any act or omission, whether due to negligence or otherwise, of any Indemnified Party. Any member shall have, owe and perform the same obligation to the Indemnified Parties hereunder in respect to any such loss, cost, claim, injury, damage or liability sustained or incurred by any guest or family member. Should any party bound by these Rules and Regulations bring suit against any of the Indemnified Parties in connection with any event operated, organized, arranged or sponsored by the Club or on any other claim or matter in connection with membership in the Club, and fail to obtain judgment therein against any one or more of them, said party shall be liable to the prevailing Indemnified Parties for all costs and expenses incurred by them in the defense of such suit, including court costs and attorneys' fees and expenses through all appellate proceedings. SERVICE CHARGE 1. A service charge equal to twenty percent (20%) will be added to all food and beverage sales, spa treatments, Member Services and chargeable Outdoor Pursuits activities. 2. Cash tipping is not permitted by members of the Club. 3. In November, it is customary to receive a letter from the President or General Manager providing an opportunity for the members to contribute to a Holiday Fund that is distributed to all employees of Kuki’o and the Kuki’o Community Association. These funds are distributed in a formulaic manner based on a number of criteria as determined by the Club General Manager and Human Resources Manager. GUEST PRIVILEGES Guest privileges may be extended to guests of members subject to applicable guest fees, charges and rules and regulations established by the Board of Directors from time to time. Guest privileges may be denied, withdrawn or revoked at any time for reasons considered sufficient by the Board of Directors in its sole and absolute discretion. 1. The Board of Directors may establish rules restricting the number of times a particular day guest may use the golf, tennis, fitness and social facilities of the Club. 2. The Club reserves the right to require identification by each guest. 6. Guest privileges may be limited by the Club, from time to time, in the sole and absolute discretion of the Club. Notice of such limitation will be given by the Club.

7. The sponsoring member shall be responsible for all charges incurred by the guest. The sponsoring member is also responsible for the conduct of a guest while at the Club. If the manner, deportment or appearance of any guest is deemed to be unsatisfactory, the hosting member shall, at the request of the Club, cause such guest to leave the Club Facilities. 8. Members may register no more than 10 guests to use the facilities at any one time during nonpeak periods and a maximum of 6 guests during peak periods. See calendar on www.kukio.net for peak periods. GOLF CARS, PRACTICE FACILITY AND HANDICAPPING GOLF CARS

Golf cars may only be used on the golf course when the course is open for play. Each operator of a golf car must be at least 16 years of age and have a valid automobile driver’s license. Obey all golf car traffic signs. Golf cars are not permitted on any tee area. Parking of golf cars is allowed in designated areas. Always use golf car paths where provided, especially near tees and greens. Use the 90-degree rule when in effect and cross fairways only at right angles. Do not drive a golf car within 15 feet of a green, a tee or a bunker, except on golf car paths. Never drive a golf car through a hazard. Be careful to avoid soft area on fairways, especially after rains. Operation of a golf cart is at the risk of the operator. Cost of repair to a golf cart which is damaged shall be charged to the person who is responsible for such damage. All persons using a golf cart shall be held fully responsible for any and all damages, including damages to the golf cart, that are caused by the misuse of the golf cart by the person or their guests and shall reimburse the Club and/or any operator of the Club for any and all damages the Club may sustain by reason of misuse. Each person using a golf cart accepts and assumes all responsibility for liability connected with operation of the golf cart. The person also expressly indemnifies and agrees to hold harmless the Club and its affiliates, employees, representatives and agents, from any and all damages, whether direct or consequential, arising from or related to the person's use and operation of the golf cart. "Course Closed" or "Hole Closed" signs are to be adhered to without exception. Violations of the golf cart rules may result in loss of golf cart privileges and/or playing privileges. PRACTICE FACILITY

The practice grounds and practice putting green should be used for all practice. Practice on the 10 Hole golf course should be approved by the golf staff. This is to ensure golfers actually playing the course are not inconvenienced. Practice is not allowed on the 18 Hole golf course.

3.3

The practice range is open during normal operating hours as posted in the club shop. The practice range may be closed for general maintenance or special events at the Club’s discretion. Practice balls are for use on the practice range and MAY NOT be used on the golf course. The Club reserves the right to charge for practice ball usage on the course for repeating offenders. Balls must be hit from designated areas. No hitting is permitted from the rough or sides of the practice range. Hand bag ball shaggers are not permitted. Lessons by unauthorized professionals are prohibited. Proper golf attire is required at all times on the practice range. Hand bag ball shaggers are not permitted, unless provided by the club. HANDICAPPING

All members and their guests with a U.S.G.A. approved handicap may participate in Club tournaments. All handicaps submitted may be reviewed by the pro shop. To establish a handicap, a member must have turned in a minimum of five scores. Members are responsible for turning in all their scores on a daily basis. The pro shop shall assist any members needing help with the posting procedures. Accurate records are to be kept of scores turned in and recorded for all full rounds played. The pro shop shall determine if there are violations by members in turning in their scores. GOLF COURSE ETIQUETTE

_____

SAFETY

Prior to playing a stroke or making a practice swing, the player should ensure that no one is standing close by or in a position to be hit by the club, the ball or any stones, pebbles, twigs or the like that may be moved by the stroke or swing. CONSIDERATION FOR OTHER PLAYERS

Persons using the golf course should do their part to make a round of golf a pleasant experience for everyone. Here are some suggestions: The player who has the honor should be allowed to play before his opponent or fellow competitor tees his ball. No one should move, talk or stand close to or directly behind the ball or the hole when a player is addressing the ball or making a stroke. No player should play until the players in front are out of range.

3.4

Do not waste time. Anticipate the club or clubs you may need, and go directly to your ball. Always be near your ball to play promptly when it is your turn. If a player is delayed in making his shot, it would be courteous for such player to indicate to another player to play which should not be deemed playing out of turn. The time required to hole out on and around the green is a chief cause of slow play. Study and clear the line of your putt while others are doing the same. Be ready to putt when it is your turn. Be sociable, but reserve your extended conversations for the 19th hole. When approaching a green, park your golf cart on the cart path on the best direct line to the next tee. This can save about one-half hour per round. Never leave the golf cart in front of the green where you will have to go back to get it, while the following players wait for you to get out of the way. When play of a hole is completed, leave the green promptly and proceed to the next tee without delay. Do the scoring for the completed hole while the others in your group are playing from the next tee. If you are not holding your place on the course (see General Golf Rules), allow the players behind to play through. Do the same if you stop to search for a lost ball. Carefully rake sand traps after use. PACE OF PLAY

In the interest of all, players should play without delay. If a player believes his ball may be lost or out of bounds, to save time he should play a provisional ball. Players searching for a ball should signal the players behind them to pass as soon as it becomes apparent that the ball will not easily be found. They should not search for five minutes before doing so. They should not continue play until the players following them have passed and are out of range. When the play of a hole has been completed, players should immediately leave the putting green. If a match fails to keep its place on the course and loses more than one clear hole on the players in front, it should invite the match following to pass. If a foursome or other group of players fails to keep their place on the course and loses more than one clear hole on the players ahead, the group must allow the following group to play through.

3.5

PRIORITY ON THE COURSE

In the absence of special rules, two-ball matches should have precedence over and be entitled to pass any three- or four-ball match, which should invite them through. A single player has no standing and should give way to a match of any kind. Any match playing a whole round is entitled to pass a match playing a shorter round. HOLES IN BUNKERS

Before leaving a bunker, a player should carefully fill up and smooth over all holes and footprints. Enter and leave bunkers at the nearest level point to the green. Smooth sand over with a rake upon leaving and leave the rake in the bunker. REPAIR DIVOTS, BALL-MARKS AND DAMAGE BY SPIKES

Repair all ball marks on the green. A player should ensure that any divot hole and any damage to the putting green made by a ball are carefully repaired. On completion of the hole by all players in the group, damage to the putting green caused by golf shoe spikes should be repaired.

GOLF COURSE ETIQUETTE

_____

– Flagsticks, Bags, Etc. Players should ensure that, when putting down bags or the flagstick, no damage is done to the putting green and that neither they nor their caddies damage the hole by standing close to it, in handling the flagstick or in removing the ball from the hole. The flagstick should be properly replaced in the hole before the players leave the putting green. Players should not damage the putting green by leaning on their putters, particularly when removing the ball from the hole. DAMAGE TO GREENS

We are outrigger canoe paddlers and sailors, swimmers, snorkelers, divers, surfers, paddle boarders and fitness enthusiasts who enjoy teaching and sharing what we love to do. It’s a way of life. WHO WE’VE TEAMED UP WITH

The objective of our team is to facilitate all member recreational needs while at Kuki‘o. We’ve partnered with some of the most experienced dive masters, charter fishermen, surfers and hiking guides on the Big Island. One of Hawaii’s unique features is its rich and amazing natural environment. From tropical rain forests to underwater realms to an active volcano, you will find every type of terrain to explore along with a gentle climate that invites outdoor activity. We’ve listed some of our favorite activities as well as the outfits that put a premium on both safety and sensitivity to the environment. RESERVATIONS AND CANCELLATIONS

OUTRIGGER CANOE PADDLING & SAILING FOR FUN_____ ONE & TWO MAN CANOE PADDLING FOUR & SIX MAN CANOE PADDLING

The best way to experience the ocean is in an outrigger canoe. Canoes are very stable and great for those new to the ocean. Go holoholo (paddle for fun) in one of our two, four, or six-man canoes. Once you’re in the ocean, you’ll see why outrigger canoe paddling is the fastest growing sport in Hawaii. Snorkeling or swimming off in an outrigger canoe can get you to some fantastic spots outside Uluweuweu, Kakapa or Kua Bay*, and to the small black sand beach north of Kona Village. Every day in the ocean is a new experience! *Kua Bay is a restricted swim zone only. Landing at Kua Bay with any vessel may result in a fine.

5.2

HOLOHOLO SAILING

When the lava heats up and draws the cooler ocean air from the southwest, it’s time to sail. Sailing close to the wind in an outrigger canoe is a unique experience and an exciting way to see the coast and encounter the open ocean. Polynesians have sailed throughout the Pacific on sailing canoes for many centuries. Our experienced sailing guides will give you a taste of what it was like to sail back in the days of old. Learn to work the sheet, tack, jibe and steer in one of the most beautiful sailing venues around. OCEAN FITNESS________________________________________ ONE & TWO MAN OUTRIGGER CANOE PADDLING

SIX MAN CANOE PADDLING WORKOUT

Hone your paddling skills in a six-man outrigger with yourself, three of your friends or family, and two veteran paddlers. With all six paddlers powering the canoe, you’ll be amazed at the intensity of the workout and distance you will travel. Paddling fosters aerobic and anaerobic conditioning, and builds core strength for other activities. Ages twelve and up. OCEAN CROSSTRAINING

Paddle. Trail Run. Ocean Swim. Run the Rock. We will put together a fantastic workout for you that incorporates the unique Kuki‘o ocean lifestyle. SECURITY AND GUEST ACCESS_________________________ Kuki‘o is a gated community dedicated to providing a secure living environment for its residents. Only authorized personnel, Club Members and residents of Kuki‘o will be permitted onto the property. Gatehouse phone: .................................. ................................. 325-4123 Security email: ....................................... ..................... [email protected] Security Manager: .................................. ....................... Loyden Tabbada Manager phone: ..................................... ................................. 325-4178 Manager email: ...................................... ................ [email protected] Kuki’o Security conducts regular property patrols. During each patrol, all common area roadways are checked utilizing a marked Kuki’o Security patrol vehicle. Exterior checks of the residences as well as foot patrols of the Clubhouse and other areas at Kuki’o are also conducted. Kuki’o Security requests that all property owners and club members provide contact phone numbers (residence, cellular) so that in the event of an emergency contact can be made with the respective property owner/club member. PROPERTY OWNER/MEMBER ACCESS

Property owners/club members are given window decals for each vehicle to ensure quick identification and access onto Kuki’o property. These decals are placed on the inside of the vehicles’ windshield. Temporary vehicle “hang tags” are issued to those with rental vehicles. Automatic gate openers or “dominos” are issued to property owners/club members who keep personal vehicles at Kuki’o for easy access through entry gates. These openers are specific to the vehicle issued and should not be moved from one vehicle to another. Please drive slowly when approaching gates. GUEST ACCESS

Club members; please register all guests with Member Services. Member Services will then notify Kuki‘o Security that the guest may access the property. Property owners and club members may also notify Kuki‘o Security directly. Security will admit registered guests and direct them according to their instructions. Guests visiting multiple days are given a temporary identification card, or “hang tag”, to be hung in their vehicle for the duration of their stay at Kuki‘o. Kuki‘o Security will not admit any unregistered or unexpected guests. Security will attempt to contact the property owner/club member in this situation but if Security is unable to, the guest will be turned away.

8.1

CONTRACT SERVICE PROVIDERS

For Property managers, housekeepers, and other service vendors, please notify Security of the company and employee names so that they can be set up with the proper passes allowing access into Kuki‘o. Contract service providers will be given short or long term passes as needed. It is the property owner/club member’s responsibility to notify Security if a contracted service provider no longer should have access to a residence. KIKAUA POINT PARK

Kikaua Point Park, the State Beach Park fronting Kuki’o Golf and Beach Club, is open for public use. The public wishing to go to the beach park must check in with Security and obtain a Public Access beach pass. Beachgoers will drive along a road used solely for beach access and park their vehicles in a separate beach access parking lot. When exiting Kuki‘o, beachgoers will again stop at the Security Gatehouse and return the beach access pass. Proper permits must be obtained for any gatherings or formal functions, such as wedding ceremonies or private parties. This includes property owners and club members. Permits can be obtained through the Association Office at 325-4108. EMERGENCY SERVICES

Two hospitals provide medical service for South Kohala: The North Hawaii Community Hospital 67-1125 Mamalahoa Highway Kamuela, Hawaii (808)885-4444 www.northhawaiicommunityhospital.org The Kona Community Hospital 79-1019 Haukapila Street Kealakekua, Hawaii (808)322-9311 www.kch.hhsc.org SECURITY SYSTEMS

Residents may wish to list Kuki’o Security as a “responder” to their home alarm systems. In the event that an alarm is activated, the alarm companies notify Kuki’o Security. Security will immediately conduct exterior checks of the residence. Security will then notify the alarm company and the proper authorities to respond to the situation (fire, ambulance, police).

8.2

CONSTRUCTION

Construction work at Kuki’o is open Monday through Saturday. Monday through Friday, contractors may enter Kuki’o property beginning at 7:00am to conduct quiet prep work for the day. Regular work can begin at 7:30am. All construction work must cease by 5:30pm and all contractors must leave Kuki’o premises by 5:30pm. On Saturdays, contractors are allowed onto property at 8:30am and can begin working at 9:00am. All construction work must be cease by 5:00pm and all contractors must leave property by 5:00pm. Construction work is not allowed on Sundays unless the construction company has prior approval from Kuki’o Security. Contractors are advised of parking areas for their job site. Contractors who are not parked in the proper area are subject to tow. ALCOHOL POLICY FOR CONTRACTORS
